What an Employee Promissory Note Is and When It Applies

An Employee Promissory Note is a written, signed promise from an employee to repay money borrowed from an employer under defined terms. It records the principal, interest (if any), repayment schedule, default remedies and governing law. Employers use promissory notes for advances, relocation loans, bonuses paid as loans, or repayment of training costs. Properly drafted notes improve enforceability by documenting consideration, dates, signatures and any required notarization or witnesses. This template focuses on clear, enforceable language suitable for U.S. jurisdictions while noting state and industry variations that may affect execution and retention.

Why a Clear Employee Promissory Note Matters

A complete promissory note reduces ambiguity about repayment obligations, protects both parties, and creates a record that can be enforced in court if necessary. It clarifies interest, payment timing, default consequences and who bears costs for enforcement.

Why a Clear Employee Promissory Note Matters

Common Users and Situations for This Note

The Employee Promissory Note suits employers and HR teams issuing loans, advances, or recoverable benefits to employees.

  • Payroll and HR departments handling advances, relocation, or education loan recoupments.
  • Small-business owners documenting repayment terms for owner-employee loans.
  • Legal or finance teams needing a clear enforceable obligation for collections.

Use the document to ensure consistent treatment of loans across employees and to support accurate payroll and tax handling.

Who Typically Signs and Approves

Employer Representative

A person authorized by the employer—HR manager, CFO, or authorized officer—should sign for the company and confirm authorization to extend the loan. Their signature confirms employer terms and acceptance of the repayment schedule.

Employee Borrower

The employee signs to acknowledge the debt, repayment obligations, and consent to any payroll deductions or withholding arrangements. Accurate name and date entries are necessary to tie the note to payroll records and tax reporting.

Core Elements to Include in a Professional Note

A well-structured Employee Promissory Note contains discrete clauses that define the loan, payment mechanics, default, remedies, and governing law to reduce disputes and support enforceability.

Parties

Full legal names and addresses for employer and employee, including the company legal entity name and the employee’s legal name as on government ID.

Principal

Exact dollar amount of the loan stated numerically and in words to avoid ambiguity and rounding disputes.

Interest

Interest rate stated as an annual percentage rate (APR). If none, state explicitly '0% interest' to avoid implied interest claims.

Repayment Schedule

Payment frequency, amount, start date, and method (payroll deduction, ACH, check). Include final due date and prepayment options.

Default Terms

Events of default, cure period, late fees, and acceleration rights. Specify collection costs and attorney fees if recoverable.

Governing Law

State law chosen to interpret the agreement and venue for disputes; choose the state with which employer operations are principally connected.

  • 01
Prepare the draft: Complete parties, principal, interest, and schedule in clear language.
  • 02
Review policy: Confirm loan aligns with company policy and payroll systems can process deductions.
  • 03
Sign and authenticate: Obtain signatures and any required notarization or witness attestations.
  • 04
Store and distribute: Provide signed copies to employee and retain employer records per retention rules.

Typical Execution Workflow for an Electronic Note

A consistent, auditable workflow reduces signer friction and supports legal validity under ESIGN and UETA.

  • Upload Document: Add the completed note to the signing platform and place required fields.
  • Add Signers: Enter employer and employee signer details and assign signature fields.
  • Choose Authentication: Select email link, SMS code, or stronger authentication as needed.
  • Execute and Archive: Capture signatures, timestamps, and store the audit trail with the signed document.

Recommended eSignature Workflow Settings

Configure signer flow and authentication to balance convenience and evidentiary strength for employer–employee loans.

Field Configuration
Signer Order Employee signs first | Employer finalizes
Authentication Email link or SMS code; KBA for high-value loans
Audit Trail Capture IP, timestamp, and device details
Document Retention Store signed PDF and verifiable audit record

Technical and Platform Considerations

Choose platforms and settings that meet legal, security, and payroll integration needs.

  • File types: PDF or DOCX accepted
  • Integrations: Payroll and HRIS connectors useful
  • Authentication: Email/SMS/KBA as needed

Use a platform that supports audit trails, secure storage, and the authentication level appropriate to the loan amount and legal risk.

Key Dates and Timing to Track

Track execution, funding, payment windows and tax-reporting obligations to minimize compliance risks.

Execution Date:

Date the parties sign; use MM/DD/YYYY format.

Funding Date:

When funds are delivered; aligns with interest accrual start.

First Payment Due:

Date of the employee's first scheduled repayment.

Default Notice Period:

Typically a 30-day cure period unless contract specifies otherwise.

Tax Reporting:

Report interest income per IRS rules; consult tax advisor for specifics.

  • Using inconsistent names or missing legal entity identifiers, which complicates enforcement and tax reporting.
  • Neglecting to record approval or policy authorization, leaving the employer open to internal control questions.
