What an Employee Release Statement Is and When it Applies

An Employee Release Statement is a written agreement in which an employee agrees to waive specified claims or rights against an employer in exchange for consideration. Commonly used at termination, severance, settlement, or post-employment separation, it defines the scope of released claims, consideration provided, effective date, and signatures required to create an enforceable release.

Why a Clear Employee Release Statement Matters

A well-drafted release reduces litigation risk, clarifies obligations, and documents mutual expectations. It provides legal certainty about what claims are waived and preserves business records showing voluntary, informed consent when properly executed and retained.

Why a Clear Employee Release Statement Matters

Who Typically Prepares and Signs These Statements

Typical stakeholders involved before and after execution.

  • Human resources and HR generalists handling separations and severance offers.
  • Company counsel or outside employment attorneys drafting or reviewing language.
  • Employees or former employees who will receive consideration and sign to waive claims.

Use the appropriate reviewer for legal risk and ensure authorized signatories countersign on the employer side.

Authorized Signers and Their Roles

HR Manager

The HR Manager often coordinates delivery, confirms consideration is accurate, and ensures the employee receives required disclosures. They do not substitute for legal review when complex claims or statutory waivers are involved.

Company Counsel

In-house or outside counsel reviews release language for enforceability, negotiates terms, and provides the employer signatory authorization language. Counsel documents approvals and preserves privilege where applicable.

Essential Parts of a Professional Employee Release Statement

Include clear sections that identify parties, define released claims, state consideration, specify effective and execution dates, and require signatures with witness or notarization if needed.

Parties

Full legal names and contact details for the employee and employer to avoid ambiguity about the agreement's scope and enforceability.

Release Scope

A precise list or general clause describing the categories of claims being released (e.g., discrimination, wage claims, torts) and any expressly excluded claims.

Consideration

Specific description of the payment, benefits continuation, or other value given in exchange for the release; include amounts and payment timing.

Representations

Employee acknowledgments about voluntary signing, opportunity to consult counsel, and that no promises beyond the written agreement exist.

Signature Block

Separate signature lines for employee and employer, with printed names, titles, dates, and space for witness or notary details if required.

Confidentiality Terms

Optional clause covering confidentiality of settlement terms and any permissible disclosures, with notice of carve-outs for legal compulsion.

Step-by-Step: Completing and Executing the Release

Follow these sequential actions to prepare, deliver, and finalize an Employee Release Statement correctly.

  • 01
Draft Terms: Prepare release language and consideration with legal review.
  • 02
Deliver to Employee: Provide the release and any ESIGN consumer disclosures if electronic.
  • 03
Obtain Signature: Employee signs and dates; collect employer countersignature.
  • 04
Store Record: Save signed copy and audit trail in secure records.

How to Configure an Electronic Workflow for the Release

Use a consistent workflow to assign fields, set signer order, and capture authentication and storage settings.

Field Configuration
Signature Field Mapping Place signature, printed name, and date fields for each party.
Signer Order Set employee to sign before employer or use simultaneous signing as appropriate.
Authentication Method Select email link, SMS code, or stronger ID verification for higher-risk releases.
Document Storage Route signed PDF to secure storage with an audit trail and retention tag.

Where to Send and File the Completed Release

Confirm delivery channels and long-term destinations for the signed release to ensure access and compliance.

  • Employee Copy: Send a signed PDF to the employee's email address.
  • HR File: Save a copy to the employee's personnel file and HR system.
  • Legal Retention: Forward to legal counsel or a central records repository.
  • Benefits Vendor: Notify benefits or payroll for continuation actions, if applicable.

Digital Delivery and Platform Considerations

Choose a platform that supports secure e-signing, audit trails, and appropriate authentication for the document's risk level.

  • Integrations: Supports common integrations like HRIS and cloud storage.
  • Document Formats: Accepts PDF and Word DOCX uploads for consistent rendering.
  • Authentication: Offers email, SMS, KBA, and advanced signer verification options.

Maintain exportable audit trails and encrypted storage; ensure any platform used supports legal validity under ESIGN/UETA and applicable data-protection requirements.

Timing Considerations and Recommended Deadlines

Releases rarely have statutory filing deadlines, but timely execution and documentation reduce disputes. Use these practical timing checkpoints.

Offer Expiration:

Set a clear acceptance window, commonly 7–21 days depending on negotiations.

Effective Date:

Specify whether the release is effective on signing or on a later date.

Payment Timing:

State when consideration will be paid (e.g., within 30 days of signing).

Revocation Window:

Note any statutory revocation rights where applicable (e.g., ADEA waiver rules).

Record Retention:

Retain the signed agreement and audit trail per retention policy immediately after signing.

Common Mistakes That Undermine a Release

  • Using vague language about which claims are released, leaving room for interpretation and litigation.
  • Failing to describe or deliver the promised consideration promptly, creating breach allegations.
  • Omitting clear signature blocks, dates, or signatory authority, which can invalidate the agreement.
  • Not providing required consumer disclosures for electronic execution in consumer-facing contexts.

Legal and Financial Risks of a Defective Release

Enforceability Risk: A defective release may be set aside by a court.
Fraud Allegations: Incomplete disclosures or duress claims can trigger litigation.
Regulatory Exposure: Certain statutory waivers may be unenforceable under federal law.
Tax Consequences: Improperly reported consideration can create IRS reporting issues.
Benefit Continuation: Failure to notify benefits vendors may cause coverage lapses.
Recordkeeping: Poor retention increases discovery costs and compliance risk.

Security and Compliance Checklist for Electronic Releases

Encryption: TLS in transit, AES-256 at rest
Audit Trail: Capture timestamps, IPs, and signer actions
HIPAA BAA: Execute BAA when PHI is involved
Access Controls: Role-based access and activity logs
Retention Rules: Apply compliant retention tags
Authentication: Use appropriate signer verification
