What the Employee Restrictive Covenant Agreement Is

An Employee Restrictive Covenant Agreement is a contract between an employer and an employee that limits certain post‑employment activities, commonly addressing non‑competition, non‑solicitation, confidentiality, and trade secret protection. The agreement defines restricted activities, the geographic area, and time period for restrictions, and it sets out remedies for breach. Employers use these agreements to protect client relationships, proprietary information, and intellectual property while balancing enforceability concerns under state law. Proper drafting tailors scope and consideration to the role and jurisdiction to improve legal validity and reduce litigation risk.

Why this Agreement Matters for Employers and Employees

A clear, well‑drafted Employee Restrictive Covenant Agreement protects business assets and clarifies expectations for departing employees while increasing the chance that courts will enforce reasonable limits.

Who Typically Uses an Employee Restrictive Covenant Agreement

Use this agreement when hiring for roles with access to confidential information, client lists, or strategic plans; tailor duration and scope for the jurisdiction and role.

  • Human resources teams managing onboarding and separation agreements for employees.
  • General counsel and outside counsel drafting role‑specific restrictive clauses.
  • Sales and client‑facing leaders protecting customer relationships and pipelines.

Core Elements to Include in a Professional Agreement

A well‑structured Restrictive Covenant Agreement balances protection with reasonableness and includes clear operative clauses and remedies.

Recitals

Explain purpose and factual background briefly so restrictions are contextually grounded and not standalone.

Definitions

Define key terms like Confidential Information, Competing Business, Clients, and Protected Territory to avoid ambiguity.

Non‑Compete Clause

Specify prohibited competitive activities, tailored to the employee’s duties and jurisdictional standards.

Non‑Solicit Clause

Protect client and employee relationships by describing prohibited solicitation activities and applicable timeframe.

Confidentiality Obligation

State obligations to preserve trade secrets and confidential information, including permitted disclosures.

Remedies and Enforcement

Specify injunctive relief, damages, attorney fees, and severability or blue‑pencil provisions in case of partial invalidity.

Risks and Consequences of an Incorrect Agreement

Unenforceability: Overbroad terms may be voided
Litigation Costs: Defending or enforcing can be expensive
Injunction Risk: Court may limit or deny relief
Damaged Relations: Poorly drafted clauses harm reputation
Regulatory Exposure: State laws may impose restrictions
Employment Claims: Potential wrongful termination or restraint claims

Common Drafting Mistakes to Avoid

  • Using overly broad geographic or activity descriptions that sweep beyond the employee’s role and invite invalidation.
  • Failing to document adequate consideration or tying restrictions to new consideration for continued employment.
  • Leaving key terms undefined, causing ambiguity about which clients, products, or markets are protected.
  • Applying a one‑size‑fits‑all clause companywide instead of tailoring restrictions by role and seniority.
