What an Employee Sales Position Agreement Covers

An Employee Sales Position Agreement is a written contract that defines the terms of employment for a sales role, including duties, compensation structure (salary, base pay, commissions), territory, performance targets, and employment status. It clarifies commission calculation, payment timing, clawback or chargeback rules, and conditions for commission eligibility after termination or leave. The agreement also addresses confidentiality, non-solicitation or noncompete limits (where enforceable), expense reimbursement, and how disputes will be resolved. Clear terms reduce later disputes and help payroll and HR apply consistent treatment.

Why a Formal Agreement Matters for Sales Roles

A written sales agreement sets clear expectations for pay, quotas, and post-employment obligations, which reduces disputes and supports prompt payroll processing.

Why a Formal Agreement Matters for Sales Roles

Who Typically Prepares and Signs These Agreements

When multiple stakeholders are involved, include version control and routing instructions to ensure the final signed copy is the authoritative agreement.

  • Hiring managers and HR — prepare role description, compensation terms, and performance metrics for internal approval
  • Sales representatives — review compensation plan, territory, and commission schedule before signing
  • Finance / Payroll — confirm commission calculation and payment timing to ensure accurate payroll setup

Essential Elements to Include in a Professional Agreement

Include precise, enforceable clauses that cover compensation, duties, termination effects on commissions, confidentiality, and dispute resolution.

Position Duties

Clear job description, sales targets, territory definitions, and reporting lines to avoid role ambiguity.

Compensation

Base salary, commission rates, draw structure, bonus criteria, payment schedule, and examples of commission calculations.

Commission Rules

Eligibility criteria, payable events, clawbacks, chargebacks for returns, and treatment on employee resignation or termination.

Term & Termination

Employment at-will language (if applicable), notice requirements, and how termination affects unpaid commissions.

Confidentiality

Non-disclosure obligations, permitted disclosures, and duration of confidentiality protection post-employment.

Dispute Resolution

Arbitration or court venue, governing law selection, and attorney fee allocation for disputes.

Common Mistakes to Avoid

  • Vague commission language that lacks a defined payable event and calculation example.
  • Omitting termination effects on unpaid commissions which leads to disputes after separation.
  • Failing to align job title and payroll classification, causing tax or overtime misclassification.
  • Not specifying governing law or venue, which complicates dispute resolution across states.

Risks and Potential Consequences of Errors

Unenforceable Clause: Overbroad noncompetes may be void
Tax Withholding: Incorrect classification triggers penalties
I-9 Violations: Incomplete onboarding documents risk fines
Payroll Disputes: Late or incorrect commissions lead to litigation
Confidentiality Breach: Unauthorized disclosures risk legal claims
