Key Legal Provisions

1. Confidentiality and Intellectual Property. The Employee acknowledges that all confidential information, trade secrets, inventions, discoveries, works of authorship, and other intellectual property created, discovered or developed by the Employee during the performance of either the primary or secondary role that relate to the Employer's business shall be the exclusive property of the Employer. The Employee will assign and hereby assigns all right, title and interest in such intellectual property to the Employer and will execute such instruments as the Employer reasonably requests to effectuate that assignment.

2. Conflicts of Interest. The Employee represents that the secondary role does not create a conflict of interest with the Employee's duties to the Employer. The Employee will promptly disclose any activity, relationship or interest that may create an actual or potential conflict and will comply with any conflict remediation directed by the Employer. The Employee shall not use Employer resources, proprietary information or time paid by the Employer to perform compensated work for others absent written authorization.

3. Priority of Duties. The Employee agrees that the Employee's primary employment obligations shall remain the Employee's principal responsibility. The Employee will perform the secondary role outside of hours required for the primary role except as otherwise approved in writing. Failure to meet primary job responsibilities may result in suspension or termination of the secondary role.

4. Compensation and Benefits. Unless expressly stated, compensation for the secondary role (if any) is delineated in this Agreement and will be processed in accordance with Employer payroll practices. The secondary role does not, by itself, entitle the Employee to additional benefits except as expressly agreed in writing.

5. Workers' Compensation and Insurance. The Employee acknowledges that coverage for the secondary role will be governed by applicable Employer insurance and workers' compensation policies, and that the Employer's liability is limited to the extent required by law and by Employer policy.

6. Compliance with Policies. The Employee will comply with all Employer rules, policies and procedures in connection with the secondary role, including but not limited to confidentiality, data protection, safety, and workplace conduct policies.

7. Termination of Secondary Role. The Employer may suspend or terminate the secondary role at any time with written notice if the Employee's performance, a conflict of interest, business needs, or other legitimate reason so requires. Termination of the secondary role will not by itself constitute termination of the Employee's primary employment unless so stated in writing.

8. Amendment; Governing Law; Severability. This Agreement constitutes the entire understanding regarding the secondary role. Any amendment must be in writing signed by both parties. This Agreement shall be governed by the laws of the state or jurisdiction of the Employer's principal place of business. If any provision is found invalid, the remaining provisions shall remain in full force.

What an Employee Secondary Role Agreement Is

An Employee Secondary Role Agreement documents an arrangement where an employee takes on an additional role, duty, or assignment outside their primary job. It sets the effective date, scope of responsibilities, time allocation, compensation or stipend (if any), reporting lines, confidentiality and conflict-of-interest rules, and approval signatures from the employee and authorized employer representatives. The agreement clarifies expectations, payroll and tax treatment, benefits interaction, and conditions for modification or termination to reduce disputes and ensure consistent internal administration.

Why this Agreement Matters for Employers and Employees

A clear secondary role agreement reduces ambiguity about duties, pay, and reporting, protects against conflicts of interest, and documents consent to schedule or role changes.

Why this Agreement Matters for Employers and Employees

Who Typically Prepares and Signs These Agreements

Employers, HR teams, and employees use this agreement when duties change or additional roles are assigned.

  • Human resources: drafts standard language and ensures policy alignment and payroll setup.
  • Hiring managers: confirm duties, schedule, and reporting for the secondary role.
  • Employees: review scope, compensation terms, and acknowledge conflicts or availability constraints.

Final signatures by the employee and an authorized employer representative complete the legal acknowledgement and trigger processing steps.

Core Elements to Include in the Agreement

A professional Employee Secondary Role Agreement covers role specifics, duration, compensation changes, reporting relationships, confidentiality and IP treatment, and termination or modification procedures.

Role Description

Concise duties, deliverables, and expected outcomes for the secondary role so obligations are clear and measurable.

Time Allocation

Specify hours, shift expectations, on-call requirements, and how secondary work interacts with primary role schedules.

Compensation

Define additional pay, stipend, or time-off accrual; include payroll coding and effective pay periods.

Conflicts & Approvals

Identify conflicts of interest, outside employment restrictions, and required managerial or HR approvals.

Duration & Termination

State start/end dates, renewal terms, notice periods, and conditions allowing immediate termination.

Signatures & Records

Signature blocks for employee and employer, dates, and record retention instructions for compliance and audits.

Required Data Points the Agreement Should Record

Employee ID: Company HR identifier
Legal Name: Full name as ID
Secondary Title: Official role name
Effective Date: MM/DD/YYYY format
Pay Details: Amount and payroll code
Approvals: Manager and HR approvals

Step-by-Step: Completing the Agreement

Follow these sequential steps to ensure the agreement is completed, authorized, and processed by HR and payroll.

  • 01
Draft: Manager or HR prepares agreement text and fields.
  • 02
Review: Employee reviews scope, time, and compensation.
  • 03
Approve: Manager and HR sign to confirm authorization.
  • 04
Process: HR updates payroll, schedules, and retains signed copy.

Customizing the Agreement for Online Workflows

Configure fields and routing to mirror internal approvals so e-signatures trigger HR and payroll updates automatically.

Field Online Setting
Employee Signature Required, date stamp enabled
Manager Approval Sequential routing to manager
HR Finalization HR receives copy and marks complete
Payroll Notification Auto-notify payroll via integration

Where to Send and How the Agreement Moves Through Your Organization

A standard routing flow ensures the employee signs first, then the manager and HR, and finally payroll receives the executed copy for processing.

  • Employee: Signs and returns the agreement.
  • Manager: Reviews duties and authorizes role.
  • HR: Validates policy compliance and retains file.
  • Payroll: Updates pay and benefit records.

Digital Signing and eSubmission Requirements

Choose an e-signature workflow that captures signer identity, timestamps, and retains a tamper-evident audit trail.

  • Document Formats: Supports PDF, DOCX
  • Authentication: Email or SMS codes
  • Integrations: HRIS and payroll systems

Ensure the chosen platform complies with ESIGN/UETA and your industry requirements and that signed records are stored securely.

Key Timing Considerations and Processing Deadlines

Be explicit about effective dates and notice periods so payroll and benefits teams can align processing and avoid retroactive adjustments.

Effective Date Notice:

Provide at least one full pay period notice when possible

Payroll Cutoff:

Submit changes before payroll deadline to avoid retro pay

Notice Period:

State required notice for termination if applicable

I-9 / Eligibility:

Confirm existing I-9 remains valid; update if role affects eligibility

Record Retention:

Store executed agreement per retention policy

Common Mistakes to Avoid

  • Vague duty language that leaves managers and employees with different expectations and leads to disputes.
  • Failing to document compensation clearly, creating payroll errors and retroactive pay adjustments.
  • Not updating HRIS and payroll systems promptly, causing tax reporting or benefit misalignment.
  • Overlooking conflict-of-interest checks or outside-employment policies that can create compliance issues.

Risks and Potential Penalties of an Incorrect Agreement

Disciplinary Action: Breach of policy may trigger termination
Payroll Errors: Incorrect paycodes cause retro pay
Tax Withholding Issues: Misreporting can trigger IRS adjustments
Overtime Liability: Misclassification may incur FLSA liability
Contract Invalidity: Missing signatures can void agreement
Regulatory Exposure: Industry rules or HIPAA breaches risk fines

Practical Examples of When Organizations Use This Agreement

Two common scenarios illustrate how the agreement clarifies expectations and payroll handling.

Internal Acting Role

A manager temporarily covers an absent director

  • Duration set to 90 days
  • The agreement specifies duties, a temporary stipend, reporting lines, and payroll code updates to avoid back-pay disputes.

Cross-Functional Assignment

A developer adds product support duties part-time

  • Time split set to 8 hours/week
  • The document defines hours, overtime treatment, IP ownership, and manager approvals to prevent scheduling conflicts.
