What an Employee Severance Agreement Is and When It Applies

An Employee Severance Agreement is a written contract between an employer and a departing employee that sets the terms of separation, such as severance pay, benefits continuation, release of claims, confidentiality, and post-employment obligations. It clarifies payment timing, tax treatment, and return of company property, and may include a release of legal claims in exchange for consideration. When signed electronically, these agreements are generally enforceable under federal ESIGN law (15 U.S.C. ch. 96) and the Uniform Electronic Transactions Act where adopted, subject to specific statutory exceptions and any state-level requirements.

Why a Clear Severance Agreement Matters for Employers and Employees

A well-drafted severance agreement reduces uncertainty, documents mutual obligations, and can limit litigation exposure by providing a voluntary release of claims. It also preserves confidentiality, protects proprietary information, and ensures consistent treatment across separations, which helps HR, payroll, and legal teams manage cost and compliance.

Why a Clear Severance Agreement Matters for Employers and Employees

Who Typically Prepares and Signs a Severance Agreement

The agreement should name the correct signatories and specify who has authority to bind the employer and accept the release on behalf of the employee.

  • HR and People Ops teams — prepare standard language, coordinate payroll and benefits, ensure compliance with company policy.
  • In-house or outside counsel — review release language, advise on enforceability and state-specific legal risks.
  • Employees and their representatives — review consideration, scope of release, and any post-employment restrictions.

Typical Signatories and Their Roles

HR Manager

An HR Manager coordinates the separation process, ensures payroll and benefits instructions are followed, and confirms the employer signatory has authority. They document timelines and retain the executed agreement for compliance and audit purposes.

Departing Employee

The departing employee reviews the severance terms and release language, may seek independent counsel, and signs to accept compensation and any post-employment obligations. Employee consent must be clear and attributable to be enforceable.

Core Elements to Include in a Professional Severance Agreement

A comprehensive agreement addresses payment, release, benefits, confidentiality, return of property, and dispute resolution to reduce downstream risk and ambiguity.

Severance Payment

Specify the exact dollar amount or formula, timing and method of payment, tax withholdings, and whether payments are lump sum or installments to avoid payroll errors and tax reporting issues.

Release of Claims

Clearly list the claims being released, the scope (federal, state, and local), any exceptions, and whether the release is contingent on a rescission period or consultation with counsel.

Benefits Continuation

State whether health benefits, COBRA options, unused PTO payout, and retirement plan treatment are provided and for what period to prevent coverage gaps and administrative disputes.

Confidentiality and Non-Disclosure

Define confidential information, permitted disclosures, and the duration of confidentiality obligations to protect trade secrets while complying with applicable laws.

Return of Property

List company property to be returned and timing for return; specify consequences for unreturned items or damage to reduce asset loss and disputes.

Dispute Resolution

Include governing law, venue, and whether mediation or arbitration is required; identify the state law that will interpret the agreement to reduce forum disputes.

Stepwise Process to Prepare and Execute a Severance Agreement

Follow a consistent sequence to draft, review, sign, and retain the executed agreement to reduce errors and preserve evidence of consent.

  • 01
Draft: Prepare terms and clauses tailored to the separation.
  • 02
Legal Review: Have counsel review release and enforceability issues.
  • 03
Employee Review: Provide the employee time to consider or seek advice.
  • 04
Execution: Obtain signatures and distribute executed copies.

Typical Electronic Execution Workflow

Running a clear e-sign workflow ensures signing attribution, time-stamped records, and reliable distribution of the fully executed agreement.

  • Upload: Upload the signed draft to the e-sign platform.
  • Place Fields: Add signature, initials, date, and conditional fields.
  • Authenticate: Choose authentication method (email, SMS, KBA).
  • Finalize: Sign, capture audit trail, and send copies.

Configuring an Online Severance Signing Flow

Set up field behavior, signer order, and authentication to match your internal approval and recordkeeping policies.

Field Configuration
Signature Order Employer first or employee first depending on counsel guidance
Authentication Email link or SMS code for basic identity verification
Conditional Fields Show payment details only after employee accepts terms
Retention Settings Enable audit trail and secure storage for compliance

Technical Considerations for eSigning and Storage

Confirm the platform supports audit logs, retention policies, and required certifications based on your industry and legal obligations.

  • File Formats: PDF and DOCX are standard for signed agreements
  • Integrations: Connect with HRIS, payroll, and document storage systems
  • Security Controls: Require TLS and AES encryption for transit and at rest

Important Timing Considerations and Deadlines

Track dates for execution, rescission periods, benefits, and payroll to ensure obligations are met and records are accurate for tax and compliance purposes.

Execution Deadline:

Specify a deadline by which the employee must sign to receive severance.

COBRA Notice Window:

Provide COBRA election information per federal requirements when health coverage is affected.

Payroll Reporting:

Coordinate with payroll for tax withholding and W-2 reporting in the applicable tax year.

Consideration Rescission:

If the agreement includes a statutory rescission period, state its length clearly.

Record Retention:

Retain executed agreements according to retention policy and legal requirements.

Key Milestones from Offer to Archive

Track major milestones so all parties know when payment, benefit changes, and retention actions occur.

01

Offer Sent

Employer sends the proposed severance terms to the employee.

02

Review Period

Employee reviews terms and may seek legal advice before signing.

03

Execution and Payment

Signed agreement triggers payment and benefits actions.

04

Archive

Store executed agreement and audit trail per retention policy.

Common Preparation Errors to Avoid

  • Unclear consideration terms lead to payroll disputes and potential claims; always specify amount and timing.
  • Incomplete signatory information or mismatched names can invalidate the release or delay tax reporting.
  • Failing to include required consumer disclosures in consumer-facing contexts can undermine enforceability under ESIGN.
  • Not preserving the audit trail or execution evidence increases exposure to challenge in litigation.

Legal and Administrative Risks of a Deficient Agreement

Invalid Release: Court may decline to enforce unclear releases
Tax Reporting: Incorrect reporting can trigger IRS penalties
Unemployment Claims: Severance terms may affect unemployment eligibility
Privacy Violations: HIPAA breaches risk regulatory penalties
I-9 Compliance: Employment verification errors carry fines
Contractual Breach: Poorly drafted covenants invite litigation
