What an Employee Severance and Release Does

An Employee Severance and Release is a written agreement between an employer and departing employee that provides specified severance pay or benefits in exchange for the employee’s waiver of claims against the employer. The agreement typically defines the severance amount, payment schedule, confidentiality obligations, any post-employment restrictions, and the scope of claims being released. Properly executed releases reduce litigation risk, clarify post-termination obligations, and document consideration. Employers often use a standard form or template tailored to job level, applicable statutes, and any collective bargaining or company policies.

Why a Clear Severance and Release Matters

A well-drafted severance and release clarifies compensation, limits future disputes, and records mutual obligations while protecting employer and employee interests under applicable law.

Why a Clear Severance and Release Matters

Who typically completes this agreement

Use the appropriate signatory authority and consider legal review for high-risk separations or those implicating age or discrimination statutes.

  • HR and People Operations: Drafts and issues standardized agreements, manages versions, and maintains retention.
  • In-house Counsel or Employment Attorneys: Reviews language for compliance, advises on age discrimination and public-policy issues.
  • Departing Employees: Reviews terms, negotiates consideration, and executes the release.

Step-by-step: completing and executing the document

Follow these steps in order to prepare, execute, and retain the severance and release correctly.

  • 01
Prepare draft: Populate parties, effective date, and payment terms.
  • 02
Legal review: Have counsel check age and public-policy language.
  • 03
Offer delivery: Present release with clear consideration and timelines.
  • 04
Sign and retain: Get signatures, apply eSignature audit trail, and store securely.

Core clauses to include in a professional severance and release

A complete agreement combines financial terms with legal protections and procedural mechanics so both parties understand rights, obligations, and limitations.

Severance Payment

Specify total amount, payment timing (e.g., lump sum or installments), any conditional payments, and whether taxes will be withheld.

Release of Claims

State the precise claims being waived, applicable time period, and any exceptions (e.g., vested benefits, unemployment claims).

Confidentiality

Define confidential information, permitted disclosures, and remedies for breaches, including injunctive relief if appropriate.

Restrictive Covenants

If applicable, include non-compete, non-solicit, or non-disparagement clauses, noting enforceability varies by state.

Return of Property

Require the employee to return company property and certify deletion of company data from personal devices where applicable.

Tax and Benefits

Address tax withholding, COBRA continuation rights, and whether severance affects pension or incentive plan entitlements.

Security and compliance items to track

In-transit encryption: TLS 1.2/1.3
At-rest encryption: AES-256 storage
HIPAA support: BAA required for PHI
Audit trail: Timestamps, IP, and action log
Regulatory frameworks: ESIGN and UETA compliant
FDA/21 CFR: 21 CFR Part 11 support available

Potential legal risks of a flawed release

Unenforceable Release: Overbroad or unclear language
ADEA Violation: Improper older-worker procedures
Tax Errors: Incorrect withholding treatment
I-9 Noncompliance: Missing termination documentation
Breach of Public Policy: Cannot waive statutory claims
Fraud or Duress: Coerced signatures may void release

Common preparation pitfalls to avoid

  • Using ambiguous consideration language that fails to describe payment timing or taxes, which can create disputes over whether consideration was adequate.
  • Neglecting age-discrimination protections (OWBPA) for employees 40 and older — missing the mandatory ADEA notice and revocation period invalidates the waiver.
  • Failing to specify governing law or forum, causing uncertainty if parties are in different states or if state-specific restrictions apply.
  • Relying on handwritten or scanned signatures without an intact audit trail, making it harder to prove intent and attribution in litigation.

Typical routing and retention workflow

Severance agreements move through drafting, review, execution, and recordkeeping; each step should be documented and timestamped.

  • Drafting: Populate template with case-specific details.
  • Internal review: HR and counsel approve final language.
  • Employee signing: Employee receives and signs electronically.
  • Record retention: Store executed copy with audit trail.

Recommended digital workflow settings

Configure digital workflows to capture identity, obtain consent, and preserve an immutable audit trail for each executed release.

Setting Recommended value
Authentication Email + SMS code for signer verification
Notifications Automated reminders at defined intervals
Template Use locked fields to prevent edits
Storage Encrypted archival with version history

Digital delivery and signing considerations

Ensure the chosen solution meets ESIGN/UETA requirements and any sector-specific rules such as HIPAA BAA obligations.

  • File formats: PDF and DOCX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, or multi-factor options

Key timing rules and windows to respect

Time-sensitive elements such as older-worker notice periods and revocation windows affect enforceability; track all deadlines precisely.

ADEA individual period:

21 days for individual older-worker waivers

ADEA group period:

45 days for group termination offers

ADEA revocation:

7-day post-signing revocation window

Final paycheck timing:

Follow state law for last wage payment timing

COBRA notice:

Provide timely COBRA election information
