What the Employee Severance Confirmation Is

An Employee Severance Confirmation is a written record that documents the agreed terms of separation between an employer and departing employee. It typically states severance pay, payment schedule, continuation of benefits, any release or waiver of claims, confidentiality obligations, and the effective date. The confirmation serves as evidence of mutual assent, clarifies administrative next steps for payroll and benefits teams, and becomes part of the employee record once fully executed by all parties.

Why a Clear Severance Confirmation Matters

A well-drafted confirmation reduces ambiguity, limits post‑employment disputes, and guides payroll and benefits processing. It documents mutual expectations about payments, tax withholding, return of property, and any release language that affects future claims.

Why a Clear Severance Confirmation Matters

Who typically prepares and signs this confirmation

Employers, HR administrators, and legal counsel prepare severance confirmations; departing employees sign to accept terms.

  • HR manager or compensation specialist — prepares payment and benefits sections, coordinates payroll and COBRA processing.
  • In-house or outside counsel — reviews release language and state‑law compliance, recommends revisions for enforceability.
  • Exited employee or their representative — reviews terms, tax withholding, and signs to indicate acceptance of the offer.

Copies should be retained by employer HR, payroll, and the signed employee for their records and future reference.

Core elements to include in a professional confirmation

A complete confirmation anticipates legal, payroll, and administrative needs so both parties understand obligations and timelines.

Severance Amount

State the exact gross dollar amount and any conditional components such as prorated bonuses or accrued PTO payments; define gross versus net where applicable.

Payment Schedule

Describe timing and method (lump sum or installments), include payroll dates, and specify whether payments are subject to standard tax withholdings.

Release & Waiver

If the employee signs a release, include precise waiver language, any scope limits, and reference applicable state or federal claim rights.

Benefits Continuation

Document COBRA eligibility, employer contribution period, and dates when health or retirement benefits cease or continue under the plan.

Return of Property

List items to be returned (devices, badges, files) and any procedures or deadlines for return to avoid offset or deduction disputes.

Confidentiality Clause

Specify non‑disparagement, confidentiality obligations, and any carve-outs required by law or by prior agreements between the parties.

Step-by-step: completing the confirmation

Follow a short, consistent workflow to create, review, and finalize the severance confirmation efficiently.

  • 01
Prepare draft: Populate core fields and attach related exhibits.
  • 02
Legal review: Have counsel confirm release and compliance language.
  • 03
Present to employee: Provide the document and necessary disclosures for consent.
  • 04
Execute and distribute: Obtain signatures, date the document, and route copies to payroll and HR.

Where to send and who receives copies

After execution, route the confirmation to the teams that need it for implementation and records.

  • Employee Copy: Deliver signed copy to the employee for their tax and benefits records.
  • HR File: Store the executed confirmation in the employee's personnel file.
  • Payroll: Provide payment schedule and tax withholding instructions to payroll.
  • Legal Counsel: Retain the executed agreement for dispute defense and compliance review.

Common mistakes to avoid when preparing confirmations

  • Vague release language that fails to define the scope of waived claims, leading to later disputes and litigation.
  • Mismatched dates between effective date and payroll schedule that cause payment delays or double taxation.
  • Failing to obtain clear consent for electronic delivery where consumer disclosure is required, risking enforceability challenges.
  • Omitting payroll or tax instructions for the severance amount, which can trigger withholding errors or reporting penalties.

Potential legal and financial risks

Tax Withholding: Incorrect withholding may trigger IRS penalties
I-9 Compliance: Incomplete forms risk DHS fines
Unenforceable Release: Poor language may be invalidated
Late Payments: State wage rules may impose fines
Confidentiality Breach: Leads to litigation or injunctive relief
Document Loss: Hampers defense of future claims
