What an Employee Severance Letter Is and When It Applies

An Employee Severance Letter is a written agreement that outlines the terms under which an employer provides severance pay, benefits continuation, and other post-employment considerations in exchange for specified employee acknowledgements or releases. It typically states the effective date, eligible payments, payment schedule, confidentiality or non‑disparagement terms, return-of-property obligations, tax treatment, and any mutual or unilateral release of claims. Severance letters can be standalone agreements or accompany a broader separation package and are used to document the agreed exit terms to reduce disputes and set post-employment expectations.

Why a Clear Severance Letter Matters

A clear, written severance letter reduces ambiguity, documents consideration, and helps manage legal and tax exposure. It provides both parties with a record of agreed terms, supports payroll and benefits processing, and can reduce the risk of future claims when combined with an appropriate release.

Why a Clear Severance Letter Matters

Who Typically Prepares and Signs a Severance Letter

Several roles participate in preparing and approving severance letters depending on company size and complexity.

  • HR professionals and talent/people teams who coordinate pay, benefits, and documentation for departing employees.
  • In-house counsel or outside attorneys who draft release language and ensure compliance with employment and tax law.
  • Payroll or finance staff who calculate final payments, tax withholding, and benefits continuation logistics.

Employees receiving the letter review, may negotiate terms, and must sign to accept severance payments in exchange for any release provisions.

Typical Signers and Their Roles

HR Manager

Human resources signs on behalf of the employer to confirm administrative and benefits arrangements. HR coordinates final paycheck timing, benefits continuation, and distribution of the executed letter to records.

Departing Employee

The employee signs to accept the offered terms and, if applicable, to acknowledge a release of claims and return-of-property obligations. Execution shows consent to the specified payments and conditions.

Core Elements to Include in an Employee Severance Letter

A professional severance letter clearly sets out each legal and practical element so both parties understand payments, conditions, and deadlines.

Parties

Identify the employer and the employee by full legal name and address so there is no ambiguity about who is bound by the agreement.

Effective Date

Specify the effective date of the separation and the date on which severance payments or benefit continuation begin to avoid disputes about timing.

Severance Payment

State the total amount or formula, how it will be paid (lump sum or installments), and whether payroll taxes will be withheld.

Release of Claims

Describe any release the employee signs, including the scope (federal/state claims), ongoing claims excluded, and any required review or revocation period.

Confidentiality

Include any confidentiality, non‑disparagement, or return-of-property obligations, and clarify consequences for breach or surviving obligations.

Benefits & COBRA

Explain benefits continuation, COBRA eligibility, and who handles enrollment and premium payments if employer aids continuation.

Stepwise Process for Preparing and Issuing a Severance Letter

Follow a consistent sequence to reduce legal risk and ensure payroll and benefits are handled correctly.

  • 01
Draft: Prepare terms and payment calculation.
  • 02
Legal Review: Have counsel review release and compliance language.
  • 03
Present: Provide letter and explanation to employee.
  • 04
Execute: Obtain signature and retain executed copy.

How to Configure an Online Severance Workflow

Set up a digital workflow that places fields, enforces authentication, and stores the executed document securely.

Field Configuration
Signature Placement Add signature and date fields for employer and employee.
Authentication Enable email verification or stronger MFA for the signer.
Conditional Fields Show release language only when severance amount exceeds threshold.
Archival Settings Attach retention tags and export PDF/A for records.

Where to Send and Store the Executed Letter

Decide routing to ensure HR, payroll, legal, and the employee each receive the executed document promptly.

  • HR Records: Store signed PDF in the employee file and HRIS.
  • Employee Copy: Provide a signed copy to the employee via secure delivery.
  • Payroll: Send payment instructions and schedule to payroll.
  • Legal File: Retain a copy with counsel for dispute defense.

Technical Considerations for eSigning and Delivery

Choose a platform that supports secure signatures, audit trails, and the file formats you use.

  • Supported Formats: PDF and DOCX are standard.
  • Authentication: Email OTP or multi-factor options recommended.
  • Integrations: Integrates with HRIS, payroll, and document storage.

Ensure the selected vendor supports legal compliance needs (ESIGN/UETA) and secure archival consistent with company policy.

Typical Deadlines and Timing to Track

Track key dates so payments, revocation windows, and tax reporting occur on time and in compliance with applicable rules.

Offer Date:

Date the letter is presented to the employee.

Acceptance Deadline:

Deadline for employee to sign and return the letter.

Final Pay Date:

Payment by next scheduled payroll or as state law requires.

Revocation Period:

If applicable, allow statutory revocation window for releases.

Tax Reporting:

Coordinate final wage reporting and required tax forms with payroll.

Common Mistakes to Avoid

  • Unclear payment terms that leave open interpretation about gross versus net and tax withholding.
  • Vague release language that fails to specify the scope of waived claims or applicable time periods.
  • Omitting signatures, dates, or failing to require employer authority to sign the document.
  • Failing to coordinate severance with final payroll, benefits, or COBRA notices leading to delays or disputes.

Key Legal and Financial Risks

Litigation Exposure: Potential wrongful termination or discrimination claims
Tax Liability: Incorrect withholding may trigger penalties
Unenforceable Release: Overbroad or unclear releases can be voided
I-9 Noncompliance: Errors can produce federal fines
Confidentiality Breach: Leads to contractual damages
Reputational Risk: Poor handling harms employer brand
