What the Employee Severance Protection Agreement Is

The Employee Severance Protection Agreement is a written release and compensation arrangement between an employer and departing employee that documents severance pay, continuation of benefits, confidentiality obligations, and any post-employment protections such as non-disparagement or noncompete limitations. It defines the consideration the employee receives in exchange for releasing claims, sets effective and termination dates, and outlines tax and benefit treatment. When properly executed it can reduce litigation risk and clarify post-employment obligations. The agreement can be executed on paper or electronically under federal and state e-signature laws when statutory exceptions do not apply.

Why a Clear Severance Agreement Matters

Use an Employee Severance Protection Agreement to document negotiated exits, limit future disputes, and clarify benefits and tax treatment. Properly drafted releases reduce litigation exposure and provide certainty for both parties, and they are enforceable electronically under ESIGN and applicable state e-signature statutes.

Why a Clear Severance Agreement Matters

Who Typically Prepares and Signs This Agreement

Typical users include HR professionals, company counsel, and managers who administer separations and ensure compliance with benefit and release obligations.

  • HR directors and managers responsible for structuring severance packages and coordinating benefits.
  • In-house or external counsel preparing legal releases, compliance language, and risk assessments.
  • Employees receiving severance who must review consideration, waiver language, and revocation periods.

Small business owners, HR consultants, and payroll teams also use these agreements to align payroll, tax withholding, and final benefit administration.

Roles and Responsibilities

General Counsel

General Counsel drafts and reviews severance agreement language, confirms release scope and ADEA compliance, and advises on tax and benefit consequences. They coordinate execution, record retention, and consult on whether notarization or witnessing improves enforceability in specific jurisdictions.

Departing Employee

The departing employee must review consideration, confidentiality terms, and any noncompete provisions, seek independent counsel if needed, and sign within agreed periods. They may have statutory revocation rights for age-related claims and should retain a copy for tax and benefit records.

Core Elements to Include in the Agreement

A professional Employee Severance Protection Agreement organizes release terms, compensation, timelines, confidentiality, benefit continuation, and dispute resolution into a clear, enforceable document.

Severance Pay

Specify gross amount or pay formula, payment schedule, tax withholding instructions, and whether payments are lump sum or installments; include COBRA premium assistance details and timing to avoid ambiguity.

Benefit Continuation

Describe health, life, and retirement plan continuation, specify COBRA rights and employer contributions, note benefit cutoffs, and indicate the method and duration of benefit payments or reimbursements.

Release Scope

List the claims the employee agrees to release, including federal, state, and local statutory or common-law claims, and clarify any retained claims or exceptions such as workers' compensation or vested pension rights.

Confidentiality

Define confidential information, permitted disclosures, duration of confidentiality obligations, carve-outs for legal compulsion, and specify remedies for breaches including injunctive relief, damages, and notification procedures.

Non-Disparagement

State whether parties will refrain from negative public statements, define permitted neutral references, identify exceptions for truthful statutory disclosures, and outline remedies for violations including liquidated damages.

Dispute Resolution

Specify governing law, venue, arbitration or court procedures, attorney fee allocation, and whether claims related to the agreement are subject to private arbitration or jury trial waiver information.

Step-by-Step: From Draft to Execution

Follow these steps to prepare, review, and execute a compliant Employee Severance Protection Agreement efficiently.

  • 01
Prepare Draft: Draft terms, severance amount, benefits and release scope.
  • 02
Legal Review: Have counsel review for enforceability and ADEA compliance.
  • 03
Employee Review: Provide time to consider and consult counsel.
  • 04
Execute & Retain: Obtain signatures, date, and store executed copy.

Configuring an Online Signing Workflow

Configure the online workflow to collect signatures, authenticate signers, and route executed copies to stakeholders.

Field Configuration
Upload Document PDF or DOCX accepted
Signature Order Sequential or parallel signing
Authentication Method Email, SMS code, or KBA
Notification Settings Email reminders and expiry alerts

Where to Send and File the Executed Agreement

Typical routing for the executed agreement includes HR, payroll, legal, and the employee with retained copies for each party.

  • HR File: Add to personnel file and update separation records.
  • Payroll: Process final payments and tax withholdings.
  • Legal Archive: Store executed release and correspondence securely.
  • Employee Copy: Provide signed PDF and retention instructions.

Platform and Integration Considerations

Choose a platform that supports PDF/DOCX, secure storage, and required e-signature authentication levels for compliance.

  • File Types: PDF, DOCX, XLSX supported
  • Integrations: Salesforce, NetSuite, Google Workspace
  • Authentication: Email, SMS, SSO options

Key Dates to Track in the Agreement Process

Key dates include offer issuance, employee consideration window, revocation periods, payment schedule, and records retention start.

Offer Issuance Date:

Date the employer presents the severance offer.

Employee Consideration Period:

Typical ADEA cases allow 21 days for older workers.

Revocation Period:

Federal OWBPA permits a 7-day revocation window in some releases.

Payment Schedule Date:

Dates for lump sum or installment payments must be clear.

Record Retention Start:

Retention begins on execution date or last payment, per policy.

Common Preparation Mistakes to Avoid

  • Using vague consideration language such as 'reasonable compensation' that leaves payment amount or timing unclear and invites disputes.
  • Failing to confirm employee identity, name spelling, or date formats which can create tax reporting errors or invalidate the release.
  • Neglecting required ADEA disclosures or revocation periods when waiving age-related claims, risking unenforceability of the release.
  • Omitting confidentiality carve-outs for compelled disclosures or failing to tailor nondisparagement language to permitted factual statements.

Short-Form Risks and Penalties

Unenforceable Release: Release may be voided
Tax Consequences: Unexpected withholding
ADEA Violation: Age waiver invalidated
Litigation Risk: Higher defense costs
Confidentiality Breach: Damages and injunctions
Recordkeeping Failure: Compliance penalties

Security and Compliance Considerations

Encryption: TLS 1.2/1.3 in transit
Data at Rest: AES-256 encrypted storage
Audit Trail: Detailed timestamps and IP logs
HIPAA Support: BAA available for covered entities
Authentication: SSO, 2FA, and SAML options
Access Controls: Role-based permissions and logs
