Settlement and Consideration

In consideration of the mutual promises and releases herein, the Employer agrees to pay the Employee the following amounts and provide the following benefits. All amounts are subject to lawful deductions and withholdings.

Release, Waiver and Mutual Covenants

In exchange for the consideration set forth above and other good and valuable consideration, the sufficiency of which is acknowledged, the Employee irrevocably releases and forever discharges the Employer and its officers, directors, agents, successors and assigns from any and all claims, demands, actions, causes of action, liabilities, obligations and damages, whether known or unknown, arising out of or in any way connected with Employee's employment or separation from employment up to the Effective Termination Date.

Confidentiality, Non-Disparagement and Return of Property

The Employee agrees to keep the terms of this Deed confidential and not to make any disparaging remarks regarding the Employer, its products, services or personnel. The Employee further acknowledges the obligation to return all Employer property.

Tax Withholding and Compliance

All payments made under this Deed shall be subject to applicable tax withholdings and other lawful deductions. The Employee acknowledges responsibility for any taxes properly due with respect to severance payments, except to the extent otherwise required by law.
