What the Employee Therapy Contract Is and When It Applies

An Employee Therapy Contract is a written agreement between an employer and an employee (or independent contractor) that sets out the terms for workplace-provided or employer-referred mental health services. It clarifies scope of services, confidentiality limits, payment or reimbursement arrangements, scheduling and session limits, recordkeeping, and responsibilities for referrals. Employers use this contract when offering therapy as an employee benefit, as a condition of a return-to-work plan, or when authorizing compensated time for counseling related to workplace incidents. The contract helps align expectations and address privacy, liability, and billing concerns.

Why a Formal Contract Matters for Employee Therapy

A written Employee Therapy Contract protects employee privacy, documents consent, and clarifies who pays for services and how records are handled. It reduces ambiguity about confidentiality exceptions, scope of employer access, and reimbursement processes while supporting regulatory compliance with ESIGN and applicable privacy laws.

Why a Formal Contract Matters for Employee Therapy

Who Typically Prepares and Signs This Contract

Employers, HR professionals, occupational health providers, and mental health clinicians commonly use this contract to document therapy arrangements tied to employment.

  • HR and Benefits Teams — Draft and issue contracts when therapy is part of an employee assistance program or benefit reimbursement.
  • Occupational Health Clinicians — Use to document work-related counseling, scope of care, and reporting obligations.
  • Employees or Contractors — Review, consent, and sign to acknowledge terms including confidentiality and payment.

Clear signatory roles reduce disputes and ensure each party understands confidentiality limits, payment responsibilities, and document retention requirements.

Core Clauses to Include in Every Employee Therapy Contract

A professional Employee Therapy Contract should be concise but include essential legal and operational clauses so expectations and compliance obligations are explicit.

Parties

Identify employer, employee (or contractor), and provider by full legal name and role; include contact details.

Scope of Services

Describe therapy type, session frequency, location (in-person/telehealth), and any limits on number or duration of sessions.

Confidentiality

State confidentiality rules and exceptions (e.g., safety concerns, subpoena, mandatory reporting) and reference HIPAA where applicable.

Payment and Reimbursement

Specify who pays, billing arrangements, preauthorization requirements, co-pay or deductible responsibilities, and invoicing cadence.

Record Access

Clarify which records remain with the provider, what summaries (if any) the employer may receive, and data retention periods.

Termination and Amendments

Describe how the contract can be terminated, notice periods, and the process for modifying terms in writing.

Stepwise Process to Complete the Contract

Follow these practical steps to produce a clear, enforceable Employee Therapy Contract that respects privacy and meets employer requirements.

  • 01
Gather Information: Collect names, licenses, benefit policy details, and billing instructions.
  • 02
Draft Clauses: Insert scope, confidentiality, payment, record access, and termination language.
  • 03
Review for Compliance: Check for HIPAA applicability, ESIGN consent language, and state notary/witness needs.
  • 04
Obtain Signatures: Execute signatures (electronic or wet) and retain audit trail or notarization as required.

How to Configure an Online Workflow for This Contract

Set up a digital workflow to collect information, route approvals, and capture signatures while preserving audit logs and consent records.

Field Configuration
Routing Sequential routing: HR → Provider → Employee
Authentication Email link plus SMS code for signer verification
Notifications Automated reminders at 3 and 7 days
Recordkeeping Enable audit trail and retain signed PDF export

Where to Send, File, and Store the Signed Contract

Designate filing locations and recipients to maintain privacy and fulfill institutional recordkeeping obligations.

  • Employee Copy: Provide a signed copy to the employee for their personal records.
  • Employer File: Store a redacted copy in the HR file or benefits system with restricted access.
  • Provider Records: Therapist retains clinical notes per HIPAA; only required summaries may be shared with employer.
  • Third-Party Billing: Send invoices to the designated finance or benefits payment mailbox.

Digital Signing and eSubmission: Technical Considerations

Use a secure e-signature platform that produces an auditable PDF with timestamp, signer attribution, and tamper-evident seals.

  • File Formats: PDF or DOCX accepted; ensure final signed output is a locked PDF
  • Authentication: Email link plus optional SMS or knowledge-based checks for higher assurance
  • Integrations: Connect with HRIS, document storage, and finance systems for streamlined routing

Preserve the audit trail and store signed copies in secure systems with role-based access controls to meet privacy obligations.

Practical Examples of How Organizations Use This Contract

These excerpts illustrate common implementations and how clauses solve specific problems.

Company A (Large Employer)

HR offers 12 funded sessions per year to employees as a benefit and requires a signed contract to confirm reimbursement limits

  • The contract requires a HIPAA-compliant provider and written consent for any summary notes
  • This approach clarified payment responsibility and reduced billing disputes while protecting clinical records.

Clinic B (Provider Network)

A community mental health provider uses a standard employer contract when delivering workplace counseling

  • Employer requests limited release of functional summaries only
  • The template preserved patient confidentiality and enabled employer-approved return-to-work planning without sharing clinical notes.
