What an Employee Vending Agreement Covers

An Employee Vending Agreement is a written contract that sets the terms under which an employer permits an employee to operate a vending activity on company premises or sells products on behalf of the employer. The agreement typically clarifies permitted products, hours of operation, revenue sharing or commission rates, inventory responsibilities, equipment placement, maintenance, insurance, compliance with workplace policies, and termination rights. It also allocates risk and describes record-keeping and reporting obligations for payroll, taxes, and any customer interactions. The document can be executed on paper or electronically subject to ESIGN and applicable state electronic signature laws.

Why use an Employee Vending Agreement

A clear agreement protects both parties by defining financial terms, compliance responsibilities, and limits on activity. It reduces misunderstandings about inventory ownership, tax reporting, workplace safety, and use of employer space, and creates an enforceable record of consent and responsibilities.

Why use an Employee Vending Agreement

Use the agreement to document permissions, set financial terms, and establish a clear process for onboarding, compliance, and termination.

  • Employers and facilities managers who control on-site vending space and need to manage liability and operations.

  • Payroll or finance personnel responsible for tracking commissions, reimbursements, and tax reporting.
