Consideration: In exchange for the consideration described above and other good and valuable consideration, the sufficiency of which Employee acknowledges, Employee hereby releases and forever discharges Employer and its affiliates, subsidiaries, officers, directors, employees, agents and successors (collectively Releasees) from any and all claims, causes of action, demands, liabilities and damages, known or unknown, which Employee has or may have arising out of or related to Employee's employment or separation, including but not limited to claims under Title VII of the Civil Rights Act, the Age Discrimination in Employment Act, the Americans with Disabilities Act, state discrimination laws, wage and hour laws, contract claims, tort claims and statutory claims.

Exceptions: This release does not waive or affect (a) Employee's rights to vested benefits under any pension or benefit plan, (b) rights that cannot be waived as a matter of law such as claims for unemployment insurance or workers' compensation, or (c) any claim that arises after the Effective Date set forth above.

ADEA Notice (Employees 40 and older): Employee understands that if Employee is age 40 or older, the ADEA (as applicable) provides a period to consider this Agreement and a possible revocation period after signing. Employee acknowledges receiving separate written notice of these rights where required and that any statutory revocation period shall be honored as provided by law.

Non-Admission and Non-Disparagement: This Agreement is not an admission of liability by any party. Employee agrees not to disparage Releasees and Releasees agree not to disparage Employee, except as required by law or in connection with lawful internal investigations or legal proceedings.

Return of Property: Employee represents that all Employer property has been returned and agrees to return any remaining property promptly. Employee will not retain copies of Employer documents or confidential information except as required by law.

Taxes and Withholding: Employee acknowledges that Employer may withhold taxes and other authorized deductions from amounts paid as part of this Agreement and that Employee is responsible for any applicable tax reporting.

Confidentiality of Agreement: Employee agrees to keep the terms and amount of this Agreement confidential, except as necessary to obtain tax or legal advice or as required by law or court order.

Representation and Advice: Employee acknowledges that Employee has been advised to consult with an attorney prior to signing and that Employee has had the opportunity to consider this Agreement for a reasonable period prior to execution.

Governing Law; Severability: This Agreement shall be governed by the laws of the state specified by Employer when applicable. If any provision is held invalid, the remaining provisions remain in full force and effect.

Authorization and Certifications

Authorization to Contact: Employee hereby authorizes Employer and its agents to contact prior employers, references and educational institutions to verify information provided by Employee and to conduct background and reference checks as necessary in connection with matters relating to Employee's separation and final compensation.
