Employment Agreement for School District Superintendent This Employment Agreement is made this the _______ day of ___________, 20___
between the Board of Education of School District No. ___ of ________________ (County) ,
___________ (State) (hereinafter sometimes referred to as the "Board"), and
_________________________________ of _________________________________ (Street Address, City, State) (hereinafter sometimes referred to as the "Superintendent"). For and in consideration of the mutual covenants and agreements herein to be kept and
performed by the parties, the Board and the Superintendent agree: 1. On the ___ day of ___________ , 20___, the Board elected the Superintendent to
supervise the schools of ________________ (County) School District No. ___ (the "District"),
commencing on the ___ day of ________________, 20___, under and in compliance with the
Rules and Regulations of the Board, decisions of the Board, and the laws, rules and regulations
of the ________________ (County), ________________ (State) and State Department of
Education.2. The employment may continue on a renewal basis, by written agreement of the parties and
the policies of the District. 3. The Superintendent agrees to supervise all of the District's schools, programs and
personnel in a faithful and competent manner for the term of this Agreement in accordance with
the rules and regulations and under the supervision and direction of the Board and this
Agreement. 4. The Board agrees to pay the Superintendent for such supervision $________________ per
year to be divided into 12 equal installments, together with such increases as may be negotiated
and agreed upon by the Board. Each installment shall be paid to Superintendent on the first day
of each month beginning the ___ day of ________________ , 20___.5. The Superintendent does hereby represent and warrant to the Board that he is capable and
fully certified by the State of ________________ to act as Superintendent of Schools. In the event the certificate of the Superintendent shall be legally revoked or shall expire during the term
of this Agreement, then the Superintendent shall not be entitled to compensation after revocation
or expiration of the certificate. 6. The Superintendent shall attend and represent the Board and its District at the regular and
usual State of and local meetings pertaining to the business of the District, unless otherwise
directed by the Board. The Superintendent may also attend three open national meetings or
conferences per year beneficial to the Board and District during the term of this Agreement. The
Superintendent shall notify the Board in advance of all such meetings and, if possible, ascertain
if the Board has any special instructions or proposals relative to such meeting or conference. The
Board shall pay usual reasonable expenses of the Superintendent attending such meetings on
behalf of the District. The Superintendent shall, at the next regular meeting of the Board
following any such meeting, report to Board concerning such meetings.7. The Superintendent acknowledges receipt of a copy of the Rules and Regulations of the
Board and their District and shall recommend to the Board, from time to time, any changes,
additions or suggestions needed. The Board shall not be bound to accept or adopt any such
recommendations. 8. The Superintendent recognizes the Board as the ultimate authority in management and
supervision of the District and agrees to abide by the Board's directives. The Board recognizes
the Superintendent as its chief administrative officer and his ability to supervise the operations of
the schools and educational objectives of the District.9. The term of employment governed by this Agreement shall be from ________________ to
________________. The Board may by specific action and with the consent of the
Superintendent extend the termination date from time to time and as permitted by law. 10. The Superintendent shall be entitled to ___ Sick days and ___ Personal days per year of
employment as defined in the school policies. Sick days and Personal days may be accumulated
but not to exceed a total of ___ days. 11. The Board shall provide the Superintendent with a District vehicle, which will include
gasoline, maintenance, licensing and insurance for the vehicle. 12. The Board agrees that it shall indemnify, defend, and hold the Superintendent harmless
from any and all demands, claims, suits, actions and legal proceedings brought against the
Superintendent (excluding criminal prosecution) in his individual capacity, or in his official
capacity as an agent and employee of the Board, provided the incident arose while the
Superintendent was acting within the scope of his employment. In no case, however, will
individual Board members be considered personally liable for indemnifying the Superintendent
against such demands, claims, suits, actions and legal proceedings. 13. This agreement may be dissolved by the mutual consent of the parties or by the Board for good cause or reason, and this agreement shall be binding upon the parties until so dissolved or
terminated by its terms.
