What an Employment Billing Agreement Covers

An Employment Billing Agreement is a written contract that sets out how an employer, staffing agency, or contractor will bill for labor, services, reimbursements, and related costs tied to an employment relationship. Typical provisions address parties, billing rates and units (hourly, per project), invoicing intervals, expense reimbursement, payment terms, tax identification, and dispute resolution. The agreement clarifies responsibilities for payroll taxes, benefits-related charges, and any pass-through costs so both payer and payee understand timing, accepted documentation, and remedies for late or disputed payments.

Why a Written Employment Billing Agreement Matters — and Its Legal Basis

A clear Employment Billing Agreement reduces billing disputes, allocates tax and withholding responsibilities, and documents consent to payment terms. For electronic execution, the ESIGN Act (15 U.S.C. ch. 96) and state UETA statutes validate properly executed electronic signatures, provided intent, consent, attribution, and record retention are met.

Why a Written Employment Billing Agreement Matters — and Its Legal Basis

Who Typically Prepares and Signs This Agreement

This agreement is used by employers, staffing firms, payroll vendors, independent contractors, and HR or finance teams to record billing and payment responsibilities.

  • Staffing agencies and recruiters: Document markups, client billing cycles, and candidate pay vs. bill rates for accurate invoicing.
  • Employers and HR teams: Capture internal chargeback rules, benefit cost allocations, and payroll tax handling between departments.
  • Independent contractors and consultants: Define hourly or project billing, retainer rules, and acceptable invoicing documentation for payment.

Use clear roles and signatory authority to reduce ambiguity over who issues invoices, who approves payment, and who handles disputes.

Authorized Signers and Their Roles

HR Director

An HR Director or VP of People often signs for employers to accept billing arrangements tied to headcount or benefits charges. Signature authority should be documented in corporate delegation records to ensure enforceability and proper internal approvals.

Billing Manager

A Billing Manager or Accounts Payable lead typically signs for staffing firms or vendors to bind the entity to invoice templates, payment windows, late fees, and accepted dispute procedures. Confirm who can adjust rates or waive fees.

Core Clauses to Include in an Employment Billing Agreement

A complete Employment Billing Agreement contains provisions that define the services, billing mechanics, and remedies. Include concise, enforceable language and attach exhibits for rate tables or sample invoices.

Parties

Identify full legal names and entity types for the payer and the provider, plus primary contact details and tax identifiers to avoid misdirected invoices and withholding errors.

Scope of Services

Describe the roles, duties, and deliverables tied to billing. Use measurable units (hours, days, deliverables) and reference attached statements of work for variable engagements.

Rates and Units

State billing rates, overtime rules, currency, and rounding conventions. Clarify whether rates include benefits or are billed separately to avoid later disputes.

Invoicing Procedures

Specify invoice format, required supporting documentation, submission method, and an invoice numbering convention to simplify payment and audit trails.

Payment Terms

Set payment due date, acceptable payment methods, early-pay discounts, late fees or interest, and remedies for nonpayment, including suspension of services.

Dispute Resolution

Outline notice periods for disputed amounts, escalation paths, interest on late payments, and any agreed arbitration or venue for litigation.

Essential Data Elements to Record

Employee Name: Full legal name
Employer Name: Legal entity + DBA
Billing Period: Start and end dates
Invoice Amount: Line-item totals

Billing Cycle Cutoff:

Specify invoice submission deadline each period

Payment Due:

Follow agreed net terms (e.g., Net 30)

Provide W-9:

Supply on request to avoid backup withholding

1099-NEC Deadline:

Send recipient/IRS by Jan 31 each year

Records Retention:

Keep billing records per retention rules

Common Mistakes to Avoid

  • Using ambiguous billing units (e.g., 'reasonable hours') which creates friction in invoice approvals and payment timing.
  • Failing to attach required supporting documents such as timesheets or expense receipts, leading to rejected or delayed payments.
  • Mismatching legal names or TINs between the agreement and tax forms, which can trigger backup withholding and IRS notices.
  • Neglecting to document who can approve exceptions or rate changes, producing unauthorized discounts and revenue leakage.

Penalties and Risks of an Incorrect or Incomplete Agreement

Incorrect TIN: Backup withholding 24%
Late 1099 Filing: $60–$330 per form (IRC §6721)
I-9 Noncompliance: $281–$2,789 per violation
HIPAA Violation: Civil penalties and breach reporting
Payment Disputes: Cash-flow impact and collections costs
Contract Ambiguity: Increased litigation risk
