This obligation survives termination of employment for the maximum period permitted by law.

WARRANTIES; REPRESENTATIONS

Employee represents and warrants that Employee has the full right to enter into this Agreement, that Employee's performance under this Agreement does not violate any other agreement or obligation, and that any Contributions assigned to Employer are original to Employee and do not infringe the rights of any third party.

CONSIDERATION

Employee acknowledges that Employer's employment of Employee, continued employment, and other benefits and compensation provided by Employer constitute adequate and valuable consideration for the rights granted to Employer in this Agreement.

COOPERATION; FURTHER ASSURANCES

During and after employment, Employee shall, upon Employer's reasonable request and at Employer's expense, execute and deliver documents and take other actions reasonably necessary to apply for, obtain, maintain or enforce patents, copyrights or other protections in Contributions and to transfer rights to Employer.

What an Employment Contribution Agreement Covers

The Employment Contribution Agreement is a written contract that documents an employee's or contractor's authorization for periodic contributions to a benefit, retirement, or payroll-deducted account and the employer's obligations to collect and remit those amounts. It specifies contribution rates, effective date, payment frequency, treatment of pre- or post-tax contributions, employer matching rules if any, and any conditions for amendment or termination. The agreement creates a signed record used for payroll setup, tax reporting, and to show consent for electronic execution under applicable U.S. e-signature laws.

Why a Clear Contribution Agreement Matters

A clear Employment Contribution Agreement reduces ambiguity about amounts, timing, and tax treatment, and documents consent for payroll deductions. It supports accurate tax reporting, protects payroll administrators, and creates a reproducible record that may be enforced when signed following U.S. e-signature requirements.

Why a Clear Contribution Agreement Matters

Who Typically Completes This Agreement

Human resources, payroll teams, benefits administrators, and individual employees or contractors commonly execute Employment Contribution Agreements to document deductions and contribution terms.

  • HR and payroll staff managing contribution set-up, remittance schedules, and tax reporting.
  • Employees or contractors authorizing payroll deductions, specifying amounts, and consenting to electronic records.
  • Benefits administrators coordinating employer matches, vesting rules, and plan compliance activities.

Organizations retain completed agreements both for internal payroll control and to meet tax, benefits, and compliance reporting obligations.

Core Sections to Include in the Agreement

A professional Employment Contribution Agreement contains discrete sections that identify the parties, describe contributions, explain tax treatment, set authorization methods, define amendment mechanics, and address dispute resolution.

Parties

Identify employer and employee by full legal name, include employer tax ID or payroll code, and state contractor status to prevent payroll and tax reporting errors.

Contributions

Specify exact dollar amount or percentage, frequency, caps, and how mid-period changes are applied so payroll and recordkeeping remain consistent.

Tax Treatment

State whether contributions are pre-tax, Roth/post-tax, or otherwise, and note consequences for missing taxpayer identification information.

Authorization

Describe consent method (wet signature, typed name, or e-signature), required authentication, and how a signer may withdraw consent.

Amendments

Outline how changes may be requested, required notice periods, and whether written signatures are required for amendments to be effective.

Dispute Resolution

Specify governing law, venue, and whether arbitration is required to limit uncertainty and reduce litigation risk between parties.

Step-by-Step: Completing and Executing the Agreement

Follow these steps to complete and execute the Employment Contribution Agreement, either on paper or via an e-signature workflow.

  • 01
Prepare: Gather employee identification, payroll code, and plan details.
  • 02
Complete: Enter contribution amounts, frequency, and the effective date.
  • 03
Authorize: Obtain the employee's signature and record consent for electronic execution if applicable.
  • 04
Process: Update payroll system records and commence deductions per the effective date.

Common Online Configuration Settings

Typical online configuration choices for automating Employment Contribution Agreements in an e-signature platform include authentication, required fields, routing, and retention settings.

Field Configuration
Signer Authentication Email link or SMS code with optional higher-assurance methods
Required Fields Full legal name, contribution amount, effective date, and signature
Routing Order Employee signs first, then HR or payroll approver signs
Retention Settings Retain signed PDF and audit trail for configured retention period

Who Receives the Completed Agreement

Typical destinations and recipients for the completed Employment Contribution Agreement include payroll systems, benefits administrators, retirement plan trustees, and the employee's personnel file.

  • Payroll System: Upload the signed PDF to payroll software and map to the employee record.
  • Benefits Admin: Send a copy to the plan administrator for contribution processing.
  • Plan Trustee: Provide the trustee or recordkeeper a copy when required by plan rules.
  • Personnel File: Store the executed agreement in the employee's personnel records for audit purposes.

Technical Requirements for eSubmission and Storage

Ensure your chosen e-signature platform supports required authentication, an auditable certificate of completion, and common file formats before e-submitting.

  • Supported Formats: PDF, DOCX, and fillable forms
  • Authentication Options: Email link, SMS code, or stronger methods
  • Integrations: Connects to payroll and HR systems

Typical Timing and Scheduling Expectations

Key deadlines and scheduling expectations associated with contribution elections, payroll deductions, remittance, and tax reporting obligations.

Effective Date Entry Deadline:

Submit signed election at least one payroll cycle before the effective date.

Payroll Cutoff for Deductions:

Provide completed agreement before payroll processing cutoff to begin deductions.

Employer Remittance Deadline:

Remit withheld contributions per plan schedule, commonly within the next pay period.

Tax Reporting Deadlines:

Maintain records to support year-end reporting per IRS requirements.

Amendment Notice Period:

Specify agreed notice period for changes, often one pay period.

Common Preparation Mistakes to Avoid

  • Using nicknames or inconsistent legal names that cause payroll or tax mismatches and delay remittance reconciliation.
  • Leaving the effective date ambiguous or after the payroll cutoff, which can cause missed or retroactive deduction complications.
  • Failing to indicate pre-tax versus post-tax treatment, creating incorrect withholding and reporting outcomes for payroll.
  • Not recording explicit consent for electronic signatures or failing to capture appropriate authentication evidence for audit.

Consequences of Incorrect or Missing Information

Tax Penalties: May trigger IRS penalties.
Payroll Errors: Leads to misallocated withholdings.
Non-Compliance: Violates plan or employer obligations.
Revocation Risk: Improper consent may invalidate authorization.
Recordkeeping Failure: Limits ability to defend audits.
Dispute Litigation: Raises potential legal costs.

Essential Information to Collect

Employee Name: Full legal name required.
Tax Identifier: SSN or TIN last four digits.
Date of Birth: Used for identity confirmation.
Mailing Address: Street, city, state, ZIP.
Contribution Details: Amount, frequency, pre/post-tax flag.
Signature Consent: Signed and dated authorization.

Who Can Sign and Authorize the Agreement

HR Manager

The HR manager or authorized payroll administrator typically reviews the completed agreement, confirms alignment with plan and payroll rules, approves setup in payroll systems, and ensures record retention for audit and tax reporting purposes.

Employee / Contributor

The employee or contributor must sign to authorize deductions, indicate tax treatment preferences, and consent to electronic execution when used; they may also request amendments or revoke consent according to the agreement's terms.

How to Amend or Revise an Existing Agreement

Follow a clear amendment workflow so changes are effective, documented, and processed correctly in payroll and benefits systems.

Assess current terms and reason for change.
