What an Employment Delivery Agreement Is and When it Applies

An Employment Delivery Agreement is a written contract that sets out how employment-related materials, deliverables, or services will be provided, received, and accepted between an employer and an employee or contractor. It defines responsibilities such as delivery deadlines, performance milestones, acceptance criteria, compensation or consideration, and any conditions precedent to effective employment. The agreement can cover physical deliverables, digital onboarding documents, training milestones, or the mechanics of remote work delivery. Properly drafted, it reduces dispute risk by clarifying timing, responsibilities, and remedies for missed obligations.

Why a Clear Employment Delivery Agreement Matters

A written agreement reduces ambiguity about start dates, deliverables, and payment, protecting both parties and improving enforceability under contract law.

Why a Clear Employment Delivery Agreement Matters

Who Typically Prepares and Signs This Agreement

Use the document when a clear, written schedule, acceptance standard, or payment trigger is required to avoid misunderstandings and enable audit-ready recordkeeping.

  • Human resources teams coordinating onboarding and payroll setup for new hires and contractors.
  • Hiring managers or project leads who need deliverable deadlines and acceptance criteria documented.
  • External contractors or consultants who require written delivery milestones tied to payment.

Primary Signatories and Their Roles

HR Manager

The HR Manager or HR representative prepares the agreement, verifies employment classification and tax forms, and is responsible for retention of the executed record for personnel files and compliance.

Employee / Contractor

The employee or independent contractor reviews deliverable definitions, accepts the delivery schedule and compensation terms, and signs to demonstrate assent and to activate onboarding steps such as I-9 completion.

Core Elements to Include in a Professional Employment Delivery Agreement

A complete agreement spells out scope, schedule, compensation, inspection and acceptance, confidentiality obligations, and governing law to reduce later disputes.

Scope

Describe precisely what will be delivered or performed, including deliverable formats, milestones, quality standards, and any excluded services to avoid scope creep and disputes.

Schedule

Specify start date, deadlines for each milestone, delivery method, and consequences for late or partial delivery such as cure periods or liquidated damages where permitted.

Payment

State payment amounts, timing, invoicing procedure, and any holdbacks tied to acceptance testing or milestone completion to align incentives.

Acceptance

Define how deliverables will be inspected, the timeframe to accept or reject, criteria for approval, and corrective measures if deliverables do not meet standards.

Confidentiality

Include nondisclosure clauses covering proprietary information, data handling expectations, and specific requirements when healthcare or financial data is involved.

Governing Law

Identify the state law that will govern interpretation and dispute resolution, which affects enforcement and applicable procedural rules.

Step-by-Step: Completing the Employment Delivery Agreement

Follow these sequential steps to prepare, review, and finalize the agreement so onboarding and payment triggers operate smoothly.

  • 01
Draft: Populate scope, schedule, and compensation fields.
  • 02
Review: Have HR and legal review for classification and compliance.
  • 03
Sign: Collect signatures from authorized signatories.
  • 04
Store: Save executed copy in the personnel or contract repository.

Where to Send and How the Signed Agreement Circulates

A clear routing plan prevents delays. Identify all recipients and retention owners before sending for signature.

  • Primary Recipient: Employee or contractor receives the signing link or PDF copy.
  • HR File: HR retains the executed agreement in the personnel file.
  • Payroll: Payroll team receives notice to set up pay after execution.
  • Legal Counsel: Legal retains a copy when special clauses or reviews were required.

Common Preparation Mistakes to Avoid
