What an Employment Delivery Contract Covers

An Employment Delivery Contract is a written agreement that defines the scope, timing, and terms for supplying an employee, contractor, or worker to a client or host employer. It typically covers role description, start and end dates, placement or delivery conditions, payment terms, confidentiality, insurance and liability allocation, worker classification, background checks, and compliance obligations. The contract clarifies operational responsibilities between the supplying party (staffing agency or employer) and the receiving party (host employer), and it establishes the obligations that govern the assignment, supervision, and termination of the delivered worker.

Why this contract matters for staffing and placements

A clear Employment Delivery Contract reduces disputes, allocates risk, and documents compliance steps such as tax reporting and I-9 retention. It protects both parties by setting expectations for performance, payment, insurance, and confidentiality.

Why this contract matters for staffing and placements

Who commonly prepares and signs Employment Delivery Contracts

The agreement helps each signatory manage regulatory obligations, payroll reporting, and operational handoffs during the worker’s placement.

  • Staffing agencies and recruiters who place temporary or contract workers at client sites and require clear delivery, billing, and compliance terms.
  • In-house HR or procurement teams that accept delivered workers and need assurances about insurance, background checks, and indemnity.
  • Clients or host employers that will supervise day-to-day work and must know classification, tax reporting, and confidentiality responsibilities.

Key provisions to include in a professional Employment Delivery Contract

Include clear, enforceable clauses that allocate responsibility, define deliverables, and reduce ambiguity about supervision, pay, and statutory compliance.

Scope of Services

Describe the worker’s role, duties, expected outcomes, location, schedule, and any deliverables or milestones tied to the placement.

Payment and Invoicing

Specify rate, billing cycle, invoicing procedure, late payment penalties, reimbursable expenses, and who pays payroll taxes or benefits.

Compliance and Vetting

Require pre-placement checks such as background screening, drug testing, and verification of authorization to work; allocate responsibility for I-9 completion.

Insurance and Indemnity

Identify required insurance coverage (workers’ compensation, general liability), limits, certificate requirements, and indemnification scope between parties.

Confidentiality and IP

Protect confidential information and clarify ownership or assignment of work product and intellectual property produced during the assignment.

Termination and Replacement

State grounds for termination, notice periods, replacement procedures, pro rata payment adjustments, and post-termination obligations.

Step-by-step: complete and execute the Employment Delivery Contract

Follow these steps to prepare, review, and finalize the agreement so the worker may begin assignment with responsibilities allocated clearly.

  • 01
Drafting: Populate parties, scope, dates, and payment fields using legal names and MM/DD/YYYY dates.
  • 02
Compliance Checks: Confirm background screening, authorization to work, and insurance certificates before placement.
  • 03
Review and Approvals: Have legal and HR review liability clauses, IP terms, and worker classification language.
  • 04
Execution: Obtain signatures from authorized signatories and retain the signed copy for records and audits.

Configure an online workflow for faster processing

Set predictable routing, required fields, and signer roles to reduce processing time and missing information.

Field Configuration
Required Fields Mark names, dates, rate, and signatures as mandatory to prevent incomplete submissions.
Signer Order Set role-based routing so agency signs first, then client, then worker if needed.
Authentication Select email or SMS code for signer verification; use stronger methods for sensitive placements.
Notifications Enable reminders for overdue signatures and send final executed copies to all parties.

Where to file and how deliverables move between parties

Understand final routing and storage requirements so executed contracts are accessible for audits and payroll.

  • Primary Recipient: Client or host employer legal department receives the executed agreement.
  • Agency Records: Staffing agency retains original for payroll, billing, and compliance audits.
  • Worker Copy: Provide a signed copy to the delivered worker for job terms and contact details.
  • Central Repository: Store executed agreements in a secure records system with controlled access.

Digital signing and technical requirements

Ensure the chosen platform supports your compliance needs, chain-of-custody evidence, and any required advanced authentication.

  • Document Formats: PDF and DOCX supported for consistent records.
  • Integrations: Connect to HR and ERP systems such as NetSuite, Salesforce, or Google Workspace.
  • Security: Use TLS and AES encryption and maintain audit logs for each signing event.

Essential information to collect and verify

Employer Legal Name: Use registered name
Client Legal Name: Use registered name
Worker Legal Name: Full legal name
Effective Date: MM/DD/YYYY format
Rate of Pay: Hourly or fixed amount
Work Location: Street, city, state, ZIP

Real-world placement scenarios

Two concise examples show how delivery contracts are used in different operational contexts.

Temporary IT Placement

A staffing firm supplies a network engineer for a three-month assignment

  • The host employer provides day-to-day supervision
  • The contract allocated payroll, insurance certificates, background-check responsibility, and an invoicing cadence to avoid disputes and ensure timely payment.

Construction Site Labor

A contractor arranges several skilled laborers for a defined project phase

  • The contractor specifies safety training and site access controls
  • The agreement includes lien waiver expectations, workers’ compensation coverage, and a clear replacement procedure for unsatisfactory workers.

Common mistakes to avoid when preparing the contract

  • Using informal or DBA names instead of legal entity names, which complicates tax and liability assignments.
  • Leaving key fields blank such as effective date, payment terms, or scope of work, causing ambiguity and disputes.
  • Failing to specify who completes I-9s and background checks, leading to noncompliance and potential fines.
  • Neglecting insurance or indemnity details, exposing one party to unexpected claims or uninsured losses.

Principal risks and legal consequences

Tax Penalties: Incorrect information returns under IRC §6721
I-9 Violations: Penalties per 8 CFR §274a.2
Misclassification: Wage and hour exposure
Insurance Gaps: Third-party claim exposure
Breach of Confidentiality: Contract remedies and damages
Contract Ambiguity: Litigation and enforcement costs

Key deadlines and timing obligations to track

Track contractual and regulatory dates to avoid payment delays, tax penalties, or document retention failures.

Effective Date and Term:

Enter MM/DD/YYYY and record renewal or termination notice deadlines.

Delivery Schedule:

Specify start, milestones, and expected completion dates for the placement.

Invoicing and Payment:

Follow the contract’s billing cycle and payment terms (for example, Net 30).

Tax Reporting Deadlines:

File 1099-NEC and related forms by Jan 31 for nonemployee compensation.

I-9 Retention Rule:

Retain I-9s for three years after hire or one year after termination, whichever is later (8 CFR §274a.2).
