What an Employment Exclusive Agreement Is

An Employment Exclusive Agreement is a written contract between an employer and an employee that requires the employee to perform work exclusively for the employer during the agreement term. It defines the scope of permitted outside activities, the effective dates, compensation treatment, and any permitted exceptions such as prior engagements or board service. These agreements are commonly used to prevent conflicts of interest, protect proprietary information, and ensure full-time availability. They are distinct from non-compete clauses and may be combined with confidentiality or invention-assignment provisions for broader protection.

Why Organizations Use an Exclusive Employment Clause

An exclusive employment clause clarifies workforce expectations, helps protect confidential business interests, and reduces overlap with competing engagements while documenting compensation and permitted exceptions under one agreement.

Why Organizations Use an Exclusive Employment Clause

Who Typically Uses an Employment Exclusive Agreement

Employers and HR teams use these agreements when roles require full-time attention or access to sensitive assets.

  • Startups requiring founders and key hires to commit time and attention to company growth.
  • Healthcare employers protecting patient-facing schedules and confidential patient information.
  • Professional services requiring exclusive client service and conflict-of-interest controls.

Employees, legal counsel, and hiring managers review these clauses to confirm fairness, enforceability, and compensation alignment before signing.

Primary Signers and Stakeholders

Employer Representative

A named HR or company officer signs for the employer and confirms the authority to bind the company. This party must match corporate records and include title and contact information for enforceability and notice.

Employee Signer

The employee signs to accept the exclusivity terms. The signature must match government ID for identity verification; if executed electronically, retain an audit trail meeting ESIGN and UETA standards.
