What the Employment Executive Assistant Agreement Is and When It Applies

An Employment Executive Assistant Agreement is a written contract that sets the terms between an employer and an executive assistant. It typically defines duties, reporting lines, compensation, benefits, hours, confidentiality, intellectual property, expense reimbursement, and termination rights. The agreement clarifies expectations for high-trust roles supporting executives and often includes non-disclosure and non-solicitation provisions. Where permitted, the document may be executed electronically under the ESIGN Act (15 U.S.C. ch. 96) and applicable state UETA or ESRA rules, which preserve enforceability when intent, consent, attribution, and retention requirements are met.

Why Use a Formal Employment Executive Assistant Agreement

A written agreement reduces disputes by documenting role scope, pay, and confidentiality obligations; it protects employer intellectual property and clarifies termination and post-employment restrictions while supporting regulatory compliance.

Why Use a Formal Employment Executive Assistant Agreement

Who typically prepares or signs this agreement

Common parties who prepare, review, or sign the Employment Executive Assistant Agreement include HR, hiring managers, legal counsel, and the assistant.

  • Hiring managers or executives who define daily duties, reporting expectations, and performance benchmarks.
  • In-house or outside counsel who review restrictive covenants, IP assignments, and compliance-sensitive clauses.

Role clarity at drafting stage speeds onboarding, reduces legal risk, and simplifies future amendments.
