What an Employment Hosting Agreement Covers

An Employment Hosting Agreement is a contract that sets the terms under which one party (the host) provides workplace, IT infrastructure, payroll administration, benefits administration, or related services to employees assigned by another party (the client or employer). The agreement defines roles, responsibilities, service levels, data handling, compensation flows, and termination conditions. It allocates liability, sets insurance and indemnity expectations, and specifies required regulatory compliance such as payroll tax withholding and I-9 verification. The document can be used for staff leasing, co-employment arrangements, or managed services that involve employee placement and administrative support.

Why clear Employment Hosting Agreements matter

A well-drafted Employment Hosting Agreement reduces legal uncertainty, clarifies who performs payroll and tax obligations, protects worker classification, and limits exposure on benefits and workplace compliance. It also documents data-protection responsibilities where personal information is processed, helping meet obligations under ESIGN, UETA, HIPAA, and applicable state labor laws.

  • Staffing and PEO providers that supply hosted employees and manage payroll, taxes, and worker safety compliance.
  • Company General Counsel or outside counsel who review liability allocation, indemnity, insurance and statutory compliance provisions.
