Legal Statements

At-Will Employment: I understand that, unless a separate written agreement states otherwise and is signed by an authorized representative of the employer, my employment is at-will and may be terminated by me or the employer at any time, with or without cause or notice.

Equal Opportunity: The employer is an equal opportunity employer. Employment decisions will be made without unlawful discrimination on the basis of race, color, religion, sex, national origin, age, disability, veteran status, or any other protected characteristic under applicable law.

Indemnity Agreement

In consideration of my employment and continued employment with the employer named below, I, the undersigned employee, hereby agree to indemnify and hold harmless the employer, its officers, directors, employees and agents (collectively, Indemnified Parties) from and against all losses, liabilities, claims, demands, damages, fines, penalties, costs and expenses (including reasonable attorneys' fees and court costs) arising out of, resulting from, or relating to my acts or omissions during the course of my employment, except to the extent caused by the gross negligence or willful misconduct of an Indemnified Party or as prohibited by applicable law.

Scope: This indemnity covers, without limitation, claims by third parties, regulatory investigations, contractual breaches by me, unauthorized disclosure of confidential information, misuse of employer property or vehicle, and liabilities arising from my negligent performance of assigned duties.

Exclusions: This indemnity does not apply to claims arising solely from the employer’s statutory obligations for worker injury benefits under workers' compensation laws, nor does it apply where the loss is the direct result of the employer’s gross negligence or willful misconduct.

Notice and Defense: The employer shall give prompt written notice to me of any claim for which indemnity is sought. I agree to cooperate fully in the defense of any claim and, at the employer’s option, to assume control of the defense with counsel reasonably acceptable to the employer, provided that the employer may participate in the defense with counsel of its choosing at its own expense.

Settlement: No settlement that imposes liability on the employer or affects the employer’s legal rights may be entered into without the employer’s prior written consent. I agree to reimburse the employer for any settlement amounts and related costs I have authorized or consented to in writing.

Remedies and Equitable Relief: In addition to indemnification, the employer shall be entitled to seek any available equitable relief, including injunction, to prevent breaches of this agreement. The employer's remedies are cumulative and not exclusive.

Duration: The obligations under this indemnity shall survive termination of my employment to the fullest extent necessary to address claims arising during my employment.

Governing Law and Severability: This agreement shall be governed by the internal laws of the state specified below. If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

Authorization and Consents

Background Check Authorization: I authorize the employer and its agents to conduct employment-related investigations, including criminal background checks, credit checks (to the extent permitted by law), driving records, and verification of education and employment history. I understand that my employment may be contingent upon the results of these checks.

Authorization to Contact Prior Employers: I authorize the employer to contact my prior employers and listed references for the purpose of evaluating my suitability for employment. I release any prior employer and reference from liability for providing information in good faith.

Applicant Certification

I certify that all information provided in this form and any attachments is true, complete and correct to the best of my knowledge. I understand that any misrepresentation, omission or falsification may result in refusal of employment or, if employed, disciplinary action up to and including termination and may be a basis for indemnity obligations under this agreement.

What an Employment Indemnity Form Is and When It Applies

An Employment Indemnity Form is a written agreement in which an employee or contracting party agrees to indemnify, defend, or hold harmless an employer or client for specified liabilities arising from the employee’s actions, omissions, or specified business activities. The document defines the scope of indemnity, limitations, and any monetary caps or exclusions, and records the parties, effective date, and signature blocks. Employers use these forms to allocate risk, document expectations, and create an enforceable record of contractually agreed responsibility for losses or third-party claims.

Why the Employment Indemnity Form Matters for Risk Management and Compliance

A clear Employment Indemnity Form helps allocate legal and financial responsibility, reduces ambiguity in dispute resolution, and supports internal compliance programs. For many industries the form complements insurance, HR policies, and contractor agreements and should align with applicable federal and state law, including enforceability standards under the ESIGN Act (15 U.S.C. ch. 96) and UETA where applicable.

Why the Employment Indemnity Form Matters for Risk Management and Compliance

Who Typically Completes an Employment Indemnity Form

Employers, HR teams, in-house counsel, contractors, and independent consultants commonly encounter this agreement and may need to complete or review it before onboarding or contract execution.

  • HR administrators and hiring managers — prepare and maintain executed forms in personnel files.
  • Legal counsel and compliance officers — review scope, exclusions, and state-law limitations.
  • Contractors and employees — sign and confirm understanding of indemnity obligations.

Proper role assignment—who prepares, approves, and archives the executed form—reduces downstream risk and ensures consistent retention and access control.

Essential Sections to Include in a Professional Employment Indemnity Form

A complete indemnity form organizes obligations and protections into clearly labeled sections so courts and administrators can interpret intent and enforceability without ambiguity.

Parties

Identify full legal names and business entity types for all parties to avoid ambiguity on who is bound.

Scope of Indemnity

Define covered claims, third-party suits, and whether defense costs are included or capped.

Exclusions and Limits

List actions not covered (gross negligence, intentional misconduct) and set monetary caps where appropriate.

Defense and Control

Specify who controls defense, selection of counsel, settlement authority, and cooperation obligations.

Consideration

Record consideration or mutual promises that make the indemnity legally supported and enforceable.

Signatures and Dates

Include signature blocks, printed names, titles, and execution dates for each signatory.

Security and Compliance Items to Include or Verify

Encryption: TLS 1.2/1.3 in transit
Data at rest: AES-256 encryption

Where to Send and How the Completed Form Is Routed

A typical submission path collects signatures, notifies stakeholders, and stores the executed document in a secure record system.

  • Send to Signer: Email or secure link sends form to the employee for signature
  • Sign and Authenticate: Signer authenticates and completes required fields
  • Route to Approvers: Form auto-routes to HR and legal for countersignature
  • Archive: Final PDF and certificate stored in the document management system

Technical Options for eSigning and Secure Distribution

Choose a platform that supports required authentication, audit trails, and secure archiving when you use electronic signatures for indemnity agreements.

  • Authentication: Email, SMS, KBA, or stronger methods
  • Integrations: Connectors for HRIS, CRM, and cloud storage
  • Audit Trail: Timestamps, IP, and action history

Timing Considerations and Internal Deadlines

Set and document internal deadlines to ensure indemnity agreements are executed before work begins and that retention obligations are tracked.

Execution Before Work:

Effective Date Entry:

Record the execution date in MM/DD/YYYY format

HR File Update:

Upload executed form to personnel file within 5 business days

Insurance Notification:

Notify insurer immediately if indemnity affects coverage

Review Cadence:

Legal should review forms annually or with role changes

Common Mistakes to Avoid When Preparing an Employment Indemnity Form

  • Using imprecise scope language that unintentionally broadens obligations and creates enforcement disputes in litigation or insurance claims.
  • Failing to identify the legal entity properly, which can prevent effective service of process or render the indemnity unenforceable.
  • Overlooking required consideration or failing to document mutual obligations, leaving the indemnity subject to contract-defenses like lack of consideration.
  • Neglecting to record signer authentication and audit trail data when the form is executed electronically, weakening proof of intent and attribution.

Risks and Potential Consequences of an Incorrect or Missing Indemnity Agreement

Unenforceable Clause: State law limits indemnity
Insurance Gaps: Coverage may be denied
Litigation Exposure: Greater defense costs
Regulatory Risk: Sector rules may restrict clauses
Tax Implications: Mischaracterized payments
Operational Delay: Onboarding or projects halted
