What an Employment Non-Award Contract Is

An Employment Non-Award Contract is a written agreement that defines employment terms while expressly excluding bonus, equity, or other award entitlements. It clarifies compensation, duties, at-will or fixed-term status, confidentiality, and any limitations on future award eligibility. The document is used to prevent misunderstandings about incentive pay and to record mutual expectations before work begins. It may be executed electronically under U.S. e-signature law when the parties consent and retention and attribution requirements are met.

Why a Clear Non-Award Clause Matters

A precise non-award clause reduces litigation risk and ensures payroll and benefits teams have a documented basis for compensation decisions, protecting both employer and employee.

Why a Clear Non-Award Clause Matters

Who Typically Uses an Employment Non-Award Contract

Employers and HR teams use this contract to document jobs where awards, bonuses, or equity are explicitly excluded; employees sign to acknowledge terms before starting.

  • Small and mid-size businesses documenting standardized compensation policies and preventing award disputes during onboarding.
  • HR and payroll departments ensuring consistent application of award eligibility rules across job classes and pay cycles.
  • Individual hires who need clear written confirmation that no discretionary or contractual awards will be provided.

It also serves payroll, legal, and compliance teams by providing a single reference point for eligibility determinations and dispute resolution.

Primary Signatories and Their Roles

Employer Representative

Typically an HR director or authorized manager who confirms company policy, signs on behalf of the employer, and ensures the agreement aligns with compensation practices and internal approvals.

Employee Signer

The incoming or current employee who acknowledges the exclusion of awards and confirms understanding of pay, duties, and any restrictive covenants before beginning work or continuing employment.
