What an Employment Permanent Agreement Is and When It Applies

An Employment Permanent Agreement is a written contract that sets out the long‑term terms and conditions of employment between an employer and an employee. It commonly covers role and duties, compensation and benefits, work schedule, probation and review periods, confidentiality, intellectual property assignment, restrictive covenants, and termination terms. Permanent agreements differ from at‑will notices or short‑term contracts by specifying an ongoing employment relationship and clearer dispute resolution and severance provisions. These agreements can be executed on paper or electronically where allowed by ESIGN and state law, and should reflect governing law and any required statutory notices.

Why a Clear Permanent Employment Agreement Matters

A written permanent employment agreement documents expectations, reduces ambiguity, and creates enforceable rights and obligations for both parties.

Why a Clear Permanent Employment Agreement Matters

Who Typically Prepares and Signs This Agreement

Employers, HR professionals, in‑house counsel, hiring managers and prospective long‑term employees commonly use this document.

  • HR Managers and Recruiters: Draft and route agreements, ensure benefit and payroll alignment during onboarding.
  • New Hires / Employees: Review terms, negotiate provisions, and provide required identity and tax documents before start.
  • Legal Counsel: Review restrictive covenants, severance language, and compliance with state employment and privacy laws.

The document also requires involvement from payroll, benefits administrators, and sometimes outside counsel for high‑risk terms.

Core Sections to Include in a Professional Employment Permanent Agreement

A complete agreement contains clearly labeled sections that describe the parties, scope of work, compensation and benefits, term and termination conditions, confidentiality/IP protections, and dispute resolution. Each section should be precise, reference any attached exhibits, and include definitions for terms used throughout the document.

Parties

Identify employer legal entity and employee by full legal name, including business type and place of incorporation where relevant.

Duties

Describe position, reporting structure, core responsibilities, and any performance targets or measurable objectives tied to the role.

Compensation

Specify base salary, pay frequency, bonus eligibility, equity grants or commission formula, and any conditions for payment.

Term & Termination

State effective date, fixed or indefinite term, notice periods, cause definitions, severance entitlements, and post‑termination obligations.

Confidentiality/IP

Include confidentiality obligations, proprietary rights assignment, invention assignment, and obligations to protect trade secrets.

Dispute Resolution

Set governing law, venue, any arbitration clauses, and remedies, plus requirements for injunctive relief where confidentiality is breached.

Essential Information to Collect and Record

Employee Name: Full legal name
Employer Entity: Registered business name
Address Details: Street, city, state, ZIP
Tax Identifier: SSN or EIN where required
Compensation: Salary or rate
Signatures: Signed and dated

Stepwise Process to Prepare and Execute the Agreement

Follow these steps to create, review, sign, and retain a compliant permanent employment agreement.

  • 01
Draft: Populate sections and attach exhibits such as job description or schedule.
  • 02
Legal Review: Have counsel review restrictive covenants and state‑specific enforceability.
  • 03
Signatures: Collect employee and employer signatures, using lawful eSignature methods where permitted.
  • 04
Recordkeeping: Store the executed agreement and audit trail in secure records for required retention.

How to Configure an Electronic Signing Workflow

Configure fields, signer order, authentication, and retention settings to match your internal approval and compliance requirements.

Field Configuration
Document Upload PDF or DOCX accepted; upload final executed version
Signature Fields Add signature, date, initials where required
Authentication Use email plus optional SMS or ID verification
Retention Settings Set archival period and export formats

Typical Electronic Execution Flow

Electronic execution follows a predictable flow: prepare the file, assign fields, invite signers, and capture an audit trail for the record.

  • Prepare: Upload final draft and attach exhibits.
  • Assign: Place signature, date, and optional checkbox fields.
  • Invite: Send secure link or email to signer(s).
  • Complete: Signed file and audit log are saved and distributed.

Technical and Platform Considerations for Electronic Signing

Ensure the signing platform supports required authentication, PDF/DOCX import/export, and an auditable certificate of completion.

  • File Formats: PDF, DOCX supported
  • Integrations: CRM, HRIS, cloud storage
  • Security: TLS and AES encryption

Key Dates and Timing to Track

Track effective dates, onboarding tasks, notice windows, and any statutory deadlines tied to employment or benefits enrollment.

Effective Date and Start:

Effective date determines obligations; start date triggers payroll and benefits eligibility.

Probationary or Review Period:

Specify length for performance review and any conditional termination rules.

Notice Periods:

Include employer and employee notice requirements for resignation or termination.

Benefits Enrollment Deadline:

State the enrollment window for medical, retirement, and other benefits.

I‑9 Documentation:

Collect I‑9 identity documents per federal rules as part of onboarding.

Common Pitfalls That Undermine Enforceability

  • Vague compensation language that leaves bonus formulas or equity vesting undefined, leading to disputes and payroll errors.
  • Overbroad restrictive covenants without geographic or temporal limits, which courts may refuse to enforce.
  • Failure to collect required onboarding documents (I‑9, tax forms) before payroll processing, risking fines and delays.
  • Using inconsistent names or unsigned signature blocks; electronic signature audit trails missing required consent or attribution details.

Legal and Financial Risks of Errors or Omissions

Tax Withholding Exposure: Penalties from incorrect withholding
I‑9 Violations: Civil fines per DHS guidelines
Unenforceable Covenants: Loss of post‑termination protections
Privacy Breach: HIPAA/FTC enforcement risk
Litigation Costs: Attorney fees and damages
Reputational Harm: Impact on hiring and retention
