What the Employment PIIA Agreement Covers

The Employment PIIA Agreement (Proprietary Information and Inventions Assignment Agreement) is a contract used by U.S. employers to document ownership of inventions, trade secrets, and other intellectual property created by an employee during employment. It typically includes confidentiality obligations, assignment of inventions, disclosure duties, provisions for works made for hire, and obligations to return employer materials. The PIIA can be part of an offer letter or a standalone agreement. When executed electronically, it may meet ESIGN and UETA requirements for enforceability provided intent, consent, attribution, and record retention are satisfied.

Why a Clear Employment PIIA Agreement Matters

A clear Employment PIIA Agreement protects employer IP rights, reduces ownership disputes, and clarifies employee reporting and compensation expectations for inventions. It also helps preserve trade secret protections and evidences assignment when enforcement or patent filing becomes necessary.

Why a Clear Employment PIIA Agreement Matters

Who Typically Uses Employment PIIA Agreements

Employers, HR, and hiring managers use Employment PIIA Agreements to record invention assignment and confidentiality expectations at hiring.

  • Early-stage employers and startups seeking clear IP ownership from engineers and founders.
  • In-house legal and HR professionals managing offer letters, onboarding, and patent disclosure procedures.
  • Contractors and consultants when employers require assignment language as a condition of engagement.

Ensure counsel reviews state-specific enforceability, the scope of assignment, and any post-employment restrictions before finalizing the agreement.

Core Clauses Found in a Professional Employment PIIA Agreement

Core clauses in an Employment PIIA Agreement define scope of assignment, confidential information protections, inventor disclosure duties, compensation for inventions, post-employment obligations, and remedies for breach.

Assignment Clause

Assigns to the employer all inventions created within the scope of employment or using employer resources, including present and future inventions and assignment of moral rights where permitted.

Confidentiality

Defines confidential information, limits employee use and disclosure, requires reasonable safeguards, clarifies exclusions such as publicly available or independently developed materials, and sets the duration of secrecy obligations.

Disclosure Duty

Requires employees to promptly disclose inventions and provide sufficient details for employer evaluation, identifies timelines and format for disclosure, and ties disclosures to assignment obligations.

Consideration

States consideration for assignment, such as continued employment, bonus, or inventor compensation; may include express patent prosecution cooperation, reimbursement of related expenses, and procedures for claiming additional compensation.

Return of Materials

Requires return or certification of destruction of employer property and confidential documents on termination, and prohibits retention of copies or derivative works without written permission.

Enforcement

Includes injunctive relief, liquidated damages or attorneys' fees clauses where permitted, choice of law and venue provisions, and a statement preserving remedies under trade secret statutes.

Practical Example Scenarios for Employment PIIAs

Two common examples show how PIIAs operate in startup and corporate R&D settings and the practical outcomes of clear assignment language.

Startup Assignment

A seed-stage software startup includes a PIIA in every offer to engineers to secure ownership of core product features and algorithms.

  • Signed electronically during onboarding with audit trail.
  • The signed agreements removed ambiguity about inventorship in subsequent patent filings, enabled prompt disclosure to counsel, and reduced negotiations over ownership when team members changed roles or left, preserving company valuation during due diligence and investor conversations.

Corporate Mobility

A multinational company updates PIIAs for employees in R&D to address cross-border IP and remote work considerations.

  • Covers inventions while working remotely.
  • Amendments clarified governing law, inventor reporting obligations, and use of employer resources; legal review ensured compatibility with local statutes and preserved enforceability while providing clearer guidance on compensation and patent prosecution cooperation.
