What an Employment Placement Agreement Covers

An Employment Placement Agreement is a contract between a placement agency, an employer, and sometimes a candidate that sets the terms for sourcing, presenting, and hiring a candidate. Typical provisions address the placement fee or commission, payment timing, refund or replacement windows, candidate guarantees, confidentiality, non-solicitation, and the effective period. The agreement clarifies responsibilities for background checks, reference verification, and any exclusivity. Parties use this document to reduce disputes about fees, candidate ownership, and post-placement obligations, and to memorialize the commercial arrangement in writing.

Why a Written Placement Agreement Matters

A clear Employment Placement Agreement reduces ambiguity about fees, timelines, and candidate ownership, and creates enforceable payment and replacement remedies. For interstate or electronic execution, the ESIGN Act (15 U.S.C. ch. 96) and most state UETA statutes validate properly executed electronic records and signatures.

Why a Written Placement Agreement Matters

Who Typically Signs an Employment Placement Agreement

Typical parties include staffing or recruiting agencies, hiring employers, HR representatives, and occasionally the placed candidate when assignment of rights is needed.

  • Staffing and recruiting firms that source candidates for third-party employers and need to protect placement fees and candidate pipelines.
  • Employers and hiring managers who want clarity on payment terms, replacement guarantees, and candidate ownership timelines.
  • Human resources or legal teams that require written terms to align with compliance, background-check processes, and internal procurement rules.

Signatories should ensure the person signing on behalf of an organization has authority to bind the company and that any licensing or registration obligations applicable to staffing services in the jurisdiction are observed.

Core Clauses to Include in a Professional Agreement

A robust Employment Placement Agreement uses clear, specific language. Include provisions that allocate risk, set payment mechanics, and document remedies for early termination or candidate failure to start.

Fee and Payment

Specify fee basis (percentage of first-year compensation or flat fee), invoicing schedule, due date, and accepted payment methods.

Replacement / Refund

State the replacement period, conditions that trigger a refund, prorated credits, and steps for requesting a replacement candidate.

Candidate Ownership

Define the timeframe during which presented candidates are considered the agency’s property for fee entitlement.

Background Checks

Allocate responsibility and cost for criminal, education, or employment verifications and any required candidate consents.

Confidentiality

Protect proprietary information shared during the search and limit use of candidate data consistent with privacy laws.

Governing Law

Identify the governing state law and dispute resolution method (court jurisdiction or arbitration).

Essential Information to Collect in the Agreement

Agency Name: Full legal entity name
Employer Name: Full legal entity name
Placement Fee: Fee formula or fixed amount
Payment Terms: Due days and invoicing method
Replacement Window: Length of guarantee period
Signatory Authority: Name and title of authorized signer

Step-by-Step: How to Complete the Agreement

Follow these four steps to prepare, review, execute, and store the Employment Placement Agreement properly.

  • 01
Draft Core Terms: Define fee, payment schedule, guarantee, and candidate ownership.
  • 02
Review Legal Points: Confirm governing law, IP, confidentiality, and data privacy obligations.
  • 03
Authorize Signers: Obtain signatures from authorized representatives with printed name and title.
  • 04
Retain Records: Save signed copies and maintain audit trail for the retention period.

How to Customize and Complete the Agreement Online

Use an eSignature platform to add fillable fields, route signers, and preserve an audit trail for compliance and recordkeeping.

Field Configuration
Signature Required for each party; include date fields
Initials Optional for each clause requiring acknowledgment
Conditional Clause Show fee schedule if placement type = permanent
Routing Sequence: Agency → Employer legal → HR

Where to Send and Store the Signed Agreement

After execution, route the final signed copy to stakeholders and keep an immutable record in a secure document repository.

  • Agency Records: Primary signed copy stored by recruiting firm
  • Employer HR File: Retained in the hiring organization's HR system
  • Shared Repository: Upload to secure cloud storage for access control
  • Backup Archive: Store an archival copy offline or in long-term retention

Distribution and eSignature Considerations

Choose delivery methods that preserve authentication data and maintain an audit trail.

  • Email Link: Standard delivery with link-based signing and time-stamped audit trail
  • Bulk Send: Useful for high-volume offers or standard terms distribution
  • API Integration: Automate generation and routing via HR or ATS integrations

Ensure the chosen method meets ESIGN/UETA requirements for intent, consent, attribution, and record retention and that any consumer-facing disclosures required by 15 U.S.C. §7001(c) are delivered.

Timelines and Key Deadlines to Track

Track execution dates, payment due dates, replacement windows, and retention triggers to preserve rights and meet obligations.

Effective Date:

Date when obligations begin (use MM/DD/YYYY)

Invoice Due:

Net days specified (e.g., Net 30) from invoice date

Replacement Period:

Guard period for refunds or replacements

Termination Notice:

Required notice period for early termination

Record Retention:

Start retention clock from execution date

Common Mistakes to Avoid

  • Using vague fee language that omits compensation basis or total payable amount.
  • Failing to identify the authorized signatory and their corporate capacity.
  • Neglecting a written replacement or refund process tied to specific dates.
  • Overlooking privacy or consent requirements for background checks and candidate data.

Risks and Legal Consequences of Errors

Breach Claims: Exposure to damages if payment or replacement obligations are disputed
Licensing Risk: Potential fines if agency licensing or registration requirements are ignored
Data Privacy: HIPAA or state privacy obligations can trigger penalties for mishandled PHI
Employment Law: Incorrect candidate classification can create wage and tax liability
Contract Ambiguity: Ambiguous terms increase litigation risk and enforcement costs
Recordkeeping Failures: Loss of rights if retention or audit trails are inadequate

Example Scenarios Using an Employment Placement Agreement

Real-world examples show how standard clauses operate in practice and why clarity matters.

Staffing Agency Placement

A recruiting firm supplies candidates for a permanent hire

  • The agreement set a 20% fee and 90-day replacement window
  • Clear ownership of presented candidates avoided later fee disputes when the employer hired a candidate three months after introduction.

Temporary-to-Permanent Hire

An employer converts a temp to permanent after a trial period

  • The contract defined payment triggers and prorated fees
  • A predefined conversion fee and notice process prevented billing disagreements and ensured timely payment.
