What an Employment Relations Agreement Is and Where It Applies

The Employment Relations Agreement is a written contract that defines the working relationship between an employer and an employee or between an employer and a representative body concerning employment terms, dispute resolution, and workplace procedures. It typically covers hiring and termination conditions, compensation, duties, confidentiality, grievance mechanisms, and any negotiated clauses on collective bargaining or alternative dispute resolution. In many workplaces the agreement supplements employee handbooks and state labor statutes to provide clearer operational expectations and enforceable obligations for both parties under applicable federal and state laws.

Why a Clear Agreement Benefits Employers and Employees

A clear Employment Relations Agreement reduces ambiguity about duties, pay, and dispute resolution, helping manage legal exposure and workplace conflict. It supports consistent HR practices, documents negotiated terms, and creates an enforceable record that can be relied on in arbitration, litigation, or regulatory reviews.

Why a Clear Agreement Benefits Employers and Employees

Who Drafts, Reviews, and Relies on Employment Relations Agreements

HR professionals, in-house counsel, union negotiators, hiring managers, and external employment attorneys commonly draft, review, or approve Employment Relations Agreements.

  • Human resources and operations teams use them to set policies and manage onboarding.
  • Labor unions and bargaining agents negotiate collective terms and grievance procedures.
  • Employment counsel reviews for compliance with federal and state labor statutes.

Smaller employers and nonunion workplaces also use tailored agreements to document expectations and reduce litigation risk.

Primary Signatories and Decision-Makers

HR Director

As the employer's signatory, the HR Director reviews operational clauses, ensures alignment with company policies, and authorizes execution. They coordinate with legal counsel on enforceability and track compliance deadlines, retention schedules, and any required notices to affected employees.

Labor Counsel

Labor Counsel advises on collective bargaining language, grievance arbitration procedures, and statutory preemption issues. They draft or review nondiscrimination, severance, and confidentiality clauses and recommend state-specific adjustments to reduce litigation and regulatory exposure.

Essential Sections to Include in an Employment Relations Agreement

Core sections of an Employment Relations Agreement set scope, compensation, term, dispute resolution, confidentiality, and termination mechanics to create clear expectations and enforceable remedies.

Parties

Identify each party by full legal name and business entity type, include official addresses, and specify whether the individual signs in a representative capacity for a corporation or union.

Term

Specify start and end dates, renewal conditions, probationary periods, and any survival clauses that continue obligations after termination, such as confidentiality or noncompete.

Compensation

Detail salary and wage rates, bonus calculation formulas, benefit eligibility and enrollment, pay schedule, tax withholding responsibilities, expense reimbursement procedures, and conditions for modifying compensation or commission plans.

Confidentiality

Define confidential information, permitted disclosures, duration of obligations, exclusions (public knowledge, prior possession), and remedy mechanisms for breach including injunctive relief and liquidated damages if applicable.

Dispute Resolution

State whether claims proceed to internal grievance, mediation, or arbitration; specify rules, seat, governing law, processes, timeline, and any class or collective action waivers and applicable limits.

Termination

Describe grounds for termination with and without cause, notice requirements, severance obligations, return of property, post-termination restrictions, and any procedures for dispute or appeal of dismissal decisions.

Step-by-Step: Completing an Employment Relations Agreement

Follow these sequential steps to complete an Employment Relations Agreement and ensure enforceability and proper routing.

  • 01
Prepare: Gather party details, job terms, and supporting attachments.
  • 02
Draft: Insert clauses for pay, duties, and dispute resolution.
  • 03
Review: Legal and HR review for compliance and risks.
  • 04
Execute: Sign, date, notarize if required, and distribute copies.

Effective Date: Enter date as MM/DD/YYYY
Compensation: Salary, bonus plan, and pay cycle

Common Preparation Errors to Avoid

  • Using informal or ambiguous language about duties and compensation that leads to differing interpretations or disputes.
  • Failing to designate governing law or venue, which can complicate enforcement and increase litigation costs.
  • Mismatched names or missing notarization when state rules require it, producing administrative rejection or invalidity.
  • Not including clear dispute resolution steps, leaving parties to litigate instead of using mediation or arbitration pathways.

Consequences of an Incorrect or Incomplete Agreement

Invalid Signature: May render agreement unenforceable
Late Filing: Regulatory fines or back pay
Wrong Governing Law: Enforcement complications across jurisdictions
Noncompliance HIPAA: Civil penalties and corrective plans

Practical Best Practices for Accurate and Enforceable Agreements

Practical steps to ensure accurate, enforceable Employment Relations Agreements and smoother administration and recordkeeping practices.

Use clear, unambiguous language and definitions
Define key terms, roles, and timeframes; avoid vague qualifiers like 'reasonable' or 'timely' without explicit metrics. Explicit definitions reduce interpretive disputes and support enforcement in arbitration or litigation. Also cross-reference related policies in exhibits.
Review for state law compliance
Confirm governing law clauses and any witness or notary requirements against state statutes before execution. Adjust severance, noncompete, or arbitration clauses per state limitations and consult counsel for regulated industries to avoid unenforceable provisions.
Ensure secure signature capture and audit trail
Use authenticated e-signing methods, maintain a detailed audit trail (timestamps, IP, and signer identity), and retain a reproducible final PDF. For health records, ensure BAA and encryption (TLS/AES) are in place to meet HIPAA requirements.
Document version control and retention
Track revisions with version numbers and effective dates, store signed originals securely, and apply retention rules consistent with IRS, HIPAA, or industry requirements. Preserve audit logs to demonstrate consent and method of execution in disputes.
