What the Employment Showrunner Agreement Is

The Employment Showrunner Agreement is a specialized employment contract used in television and media production to appoint a showrunner as the principal creative and managerial lead for a series or program. It sets out the showrunner’s duties, compensation, ownership and licensing of intellectual property, credits, deliverables, termination rights, confidentiality, and dispute resolution. This agreement allocates responsibilities between production company and showrunner, defines performance milestones and delivery schedules, and records compensation mechanics including bonuses, profit participation, or backend points. It serves as the foundational document that governs employment terms and protects both parties’ rights during production.

Why a Clear Agreement Matters

A clear Employment Showrunner Agreement reduces role ambiguity, protects intellectual property rights, and codifies compensation and credit obligations. It lowers the risk of disputes during production, establishes enforceable termination and deliverables clauses, and provides a documented basis for resolving creative or business conflicts.

Why a Clear Agreement Matters

Who Typically Prepares and Signs This Agreement

Primary users include production companies, showrunners, legal counsel, and talent representatives who negotiate employment terms on scripted and unscripted series.

  • Production companies and studios negotiating managerial control, budgets, and delivery schedules for a series.
  • Showrunners or head writers agreeing to duties, credit, and backend compensation with producers.
  • Entertainment attorneys and agents reviewing liability, termination, and IP assignment clauses for clients.

Secondary users include payroll, human resources, and accounting teams that implement payment terms and monitor compliance during production.

Step-by-Step: Completing the Agreement

Follow this sequential checklist to complete the Employment Showrunner Agreement accurately and to ensure enforceability.

  • 01
Prepare: Gather parties’ legal names, IDs, and prior agreements to reference.
  • 02
Draft: Define duties, schedules, compensation, deliverables, and IP assignment terms clearly.
  • 03
Review: Have legal counsel check termination, indemnity, and credit provisions for enforceability.
  • 04

Core Components Every Agreement Should Include

A professional Employment Showrunner Agreement clearly defines duties, compensation, IP rights, credits, deliverables, termination, and dispute resolution to align expectations and limit legal exposure.

Duties & Authority

Detail managerial, creative, and administrative responsibilities, decision-making authority, reporting lines, and approval processes to prevent overlap with producers or network executives during development and production.

Compensation

Describe base pay, payment schedule, bonuses, backend participation, and any escrow or holdback arrangements; specify process for expense reimbursement and conditions for withholding or adjustments.

Credits & Billing

Specify writing and showrunner credit language, promotional credits, billing blocks, and how disputes over credit are resolved to protect reputation and union obligations.

Intellectual Property

Define ownership or assignment of scripts, treatments, and derivatives; carve out preexisting works and license terms for third-party materials to avoid ambiguity over future exploitation rights.

Term & Termination

Set contract length, renewal options, termination for cause or convenience, notice and cure periods, obligations on termination, and any severance or post-termination compensation.

Dispute Resolution

Include governing law, venue, arbitration or mediation clauses, and interim injunctive relief terms to expedite disputes without unduly restricting parties’ access to courts.

Illustrative Use Cases

Practical examples show how specific clauses reduce disputes and align payment and delivery expectations on different production types.

Case Study 1

A mid-size independent production formalized a showrunner engagement to standardize responsibilities and payment on a scripted series.

  • Key issue: credit and backend payment timing.
  • Using a detailed Employment Showrunner Agreement reduced disputes about creative authority and clarified compensation waterfalls, allowing faster approvals for upgrades and clear assignment of intellectual property rights for distribution and syndication.

Case Study 2

A reality series retained a showrunner under short-term engagement with strict delivery and termination clauses tied to episode delivery dates.

  • Main concern: timely episode delivery.
  • Clear milestone definitions and payment holdbacks enforced on missed deadlines, reducing production delays and protecting producers from cost overruns; post-termination IP and credit provisions helped avoid protracted disputes.

Practical Tips for Accurate and Efficient Completion

These best practices help draft enforceable, clear Employment Showrunner Agreements and reduce negotiation friction and post-production disputes.

Use plain, specific contractual language
Write duties, deliverables, and payment triggers in specific terms; avoid undefined phrases such as reasonable efforts or industry standard without measurable benchmarks to reduce interpretation disputes.
Align payment schedule with production milestones
Match payments to verifiable events such as delivery and approvals; consider escrow or holdback structures to incentivize timely performance and protect against missed deliverables.
Document preexisting works and licenses
List prior scripts, treatments, and licensed materials to avoid inadvertent assignment; specify carve-outs and license terms to preserve creators’ preexisting rights.
Consult counsel on jurisdictional limits
Review non-compete, arbitration, and tax classification with counsel to reflect state law variations and union obligations that may affect enforceability and costs.
