What an Employment Therapist Agreement Covers

An Employment Therapist Agreement is a written contract that establishes the terms between an employer (clinic, practice, or health system) and a therapist (licensed psychologist, clinical social worker, marriage and family therapist, or counselor). It sets role and scope of services, compensation, schedule, supervision and credentialing requirements, privacy and recordkeeping obligations, termination rights, and intellectual property or noncompete provisions where applicable. The agreement can address in-person and telehealth duties, licensing compliance across jurisdictions, and expectations for handling protected health information under HIPAA.

Why this agreement matters for employers and clinicians

A clear Employment Therapist Agreement reduces legal ambiguity about duties, payment, and confidentiality, supports licensing compliance, and documents supervision and billing responsibilities in HIPAA-regulated settings.

Why this agreement matters for employers and clinicians

Who typically completes an Employment Therapist Agreement

The document is used both for traditional W-2 employment and for independent contractor relationships; classification affects tax, benefits, and I-9 obligations.

  • Small clinics and group practices that hire licensed therapists for clinical hours and billing oversight.
  • Telehealth companies contracting licensed clinicians for remote services across state lines with licensing checks.
  • Behavioral health departments in hospitals that require credentialing, supervision, and HIPAA-compliant workflows.

Core sections to include in a professional agreement

Include sections that clearly define clinical duties, credentialing, compensation, confidentiality, dispute resolution, and termination. Each topic should be specific to therapy practice and regulatory needs.

Duties and Scope

Describe clinical caseload, permitted modalities (individual, group, telehealth), required documentation, supervision frequency, and any administrative tasks tied to billing or quality metrics.

Compensation

Specify salary or fee schedule, billing splits for private pay or insurance, bonuses, pay cadence, and handling of missed-cancelled sessions or no-shows.

Licensing & Credentialing

Require current state licensure, malpractice insurance limits, reporting of disciplinary actions, and procedures for verifying credentials before patient contact.

Privacy & Records

State HIPAA obligations, permitted PHI disclosures, responsibilities for record retention, and requirements for secure electronic records and client portals.

Termination & Notice

Define cause and no-cause termination, notice periods, post-termination client transfer procedures, and obligations for continuity of care.

IP & Noncompete

Address ownership of clinical templates or intellectual property, limits on noncompete or non-solicitation clauses consistent with state law, and any trade-secret protections.

Step-by-step: completing and executing the agreement

Follow a clear sequence to prepare, review, and finalize the Employment Therapist Agreement to ensure compliance and enforceability.

  • 01
Prepare draft: Populate parties, duties, and compensation fields.
  • 02
Verify credentials: Confirm current licensure and malpractice insurance.
  • 03
Legal review: Have counsel review restrictive covenants and compliance.
  • 04
Execute: All parties sign; retain executed copy and update HR systems.

Common drafting and execution pitfalls

  • Vague duties or catchall language that fail to define clinical expectations and documentation standards, leading to disputes.
  • Improper classification of worker status (employee vs contractor) that causes payroll, tax, and benefits exposure.
  • Missing or outdated license verification and malpractice proof before allowing patient contact.
  • Overbroad noncompete or non-solicit clauses that risk unenforceability in several states.

Consequences of errors or noncompliance

Licensure Violations: Disciplinary sanctions, fines
HIPAA Breach: Civil penalties, corrective action
Misclassification: Back taxes and penalties
I-9 Failures: Fines per violation range
Unenforceable Covenants: Litigation costs
Billing Errors: Repayment and audit exposure

Key timing and processing expectations

Track credential verification, start dates, background checks, and form deadlines to avoid service gaps or compliance issues.

Credential Verification Timeline:

Complete before first patient contact; allow 1–4 weeks depending on state boards.

Background Checks:

Run prior to hire; additional checks may be required for school-based roles.

I-9 Completion:
