Duties, Deliverables and Work Standards

The Employee shall be employed as a writer responsible for producing editorial content, articles, scripts, copy, and other written material as assigned by the Employer. Primary duties include: adherence to editorial guidelines, timely submission of drafts, incorporation of edits, fact-checking, and maintaining agreed word counts. Specific deliverables and deadlines will be set by the Reporting Manager and appended as work directives.

Intellectual Property; Work Product

All original works of authorship, including articles, copy, scripts, outlines, edits, and derivative works created by the Employee within the scope of employment shall be deemed "work made for hire" and shall be the sole and exclusive property of the Employer. To the extent any such work does not qualify as work made for hire, the Employee hereby irrevocably assigns and transfers to the Employer all right, title, and interest in and to such works, including copyrights and moral rights, without additional consideration.

Employee agrees to execute and deliver, at the Employer's request and expense, any instruments reasonably necessary to effectuate the assignment and to assist the Employer in securing intellectual property protections.

Confidentiality and Non-Disclosure

Employee shall not, during or after the term of employment, disclose or use for personal benefit any confidential or proprietary information of the Employer, including unpublished drafts, editorial plans, source lists, client information, pricing, and unpublished research, except as necessary to perform duties under this Agreement. This obligation survives termination of employment.

Non-Competition and Non-Solicitation

For a period of following separation, Employee shall not accept employment with, or render services to, any direct competitor soliciting the Employer's clients within a of the Employer's primary market. Employee also agrees not to solicit the Employer's employees or contractors for a period of following separation. The parties acknowledge that any restriction will be construed to the extent permitted by applicable law.

Termination

This Agreement may be terminated by either party at any time with or without cause upon written notice, except that the Employer may terminate Employee immediately for material breach, gross misconduct, or violation of law. Upon termination, Employee shall promptly return all Employer property and confidential materials.

Compensation, Expenses and Benefits

Employee shall be compensated as described above. Employer will reimburse reasonable, pre-approved business expenses incurred by the Employee in performance of duties upon submission of receipts and in accordance with Employer policy.

Representations, Warranties and Compliance

Employee represents and warrants that all work produced will be original, will not infringe third-party rights, and will comply with applicable laws and Employer policies. Employee shall promptly notify Employer of any actual or potential claim relating to work product.

At-Will Employment; Equal Opportunity

Unless otherwise expressly agreed in writing, employment is at-will: either party may terminate the employment relationship at any time, with or without cause, and with or without notice, subject to the terms of this Agreement. The Employer is an equal opportunity employer and does not unlawfully discriminate in hiring or employment on any protected basis.

Background Checks and Authorization to Contact

Employee hereby authorizes the Employer to contact prior employers, references, educational institutions, and to conduct background checks to the extent permitted by law. Employee certifies that the information provided by Employee in connection with hiring is true, complete, and correct.

Applicant Certification and Acknowledgments
