What the Exhibitor Employment Agreement Covers

An Exhibitor Employment Agreement is a written contract that defines the relationship between an event exhibitor and the individual or temporary staff working the booth. It typically specifies parties, services, shift dates and hours, pay or stipend, expense reimbursement, confidentiality, intellectual property assignments, code of conduct, health and safety requirements, venue rules, insurance responsibilities, and termination terms. The agreement helps align expectations, limits liability for the exhibitor and venue, and creates a record suitable for regulatory compliance and payroll or contractor classification decisions.

Why a Clear Exhibitor Employment Agreement Matters

A precise agreement reduces disputes, documents payment and scheduling, and clarifies risk allocation for exhibitors and temporary staff. It supports payroll and tax classification, protects IP and confidential materials used at events, and helps enforce venue-specific safety and credentialing rules.

Why a Clear Exhibitor Employment Agreement Matters

Who Typically Completes This Agreement

The agreement is completed by the exhibitor or their HR/operations team before staff begin work at an event.

  • Exhibitor administrators preparing staff rosters and assignment details for the event
  • Event organizers or venue operations verifying credentialing, insurance, and safety rules
  • Staffing agencies and temporary labor coordinators supplying contract workers for booth shifts

Legal counsel or event managers may review final terms for compliance with venue rules and local employment law.

Typical Signers and Their Roles

Exhibitor Manager

The company or representative who hires the worker, sets compensation and schedules, and is responsible for compliance with venue rules and insurance obligations under the agreement.

Temporary Staff

The individual performing booth duties who signs to accept hours, pay terms, confidentiality and conduct standards; may be an employee or independent contractor based on classification tests.

Core Sections to Include in a Professional Agreement

A well-drafted Exhibitor Employment Agreement organizes rights and duties clearly, minimizes ambiguity, and links to venue and safety requirements.

Parties & Roles

Identify the exhibitor entity and the worker (legal names), specify whether the worker is employee or independent contractor, and note any staffing agency involvement.

Term & Schedule

List event dates, shift start/end times, reporting location, and any rehearsal or setup days that are compensable.

Compensation

Specify rate (hourly or flat), payment timing, expense reimbursement rules, and any applicable tax withholding or 1099 reporting requirements.

Duties & Conduct

Describe specific booth duties, sales or lead capture expectations, dress code, prohibited behavior, and consequences for violations.

Confidentiality & IP

Cover protection of trade secrets, handling of customer lists, and assignment of work product or IP created while performing duties.

Liability & Insurance

I-9 Timing:

Complete Section 1 on hire day; employer must verify identity per DHS rules and retain I-9 per 8 CFR §274a.2.

Process reimbursable expenses within employer payroll cycle, typically 30 days.

Typical Processing Milestones

Sequence the agreement lifecycle to align drafting, review, signature collection, and archival.

Drafting

Create event-specific agreement language and attach exhibits or schedules.

02

Review & Compliance

Legal and HR check classification, insurance, and venue requirements.

03

Signatures

Collect signatures from exhibitor and worker before start date.

04

Onboarding & Records

Complete I-9, payroll setup, and store signed copy in secure repository.

Common Preparation Errors to Avoid

  • Using trade names instead of legal entity names, which can delay contracting and create ambiguity when enforcing the agreement.
  • Failing to specify classification (employee vs contractor) and payment method, increasing risk of payroll tax liability and misclassification claims.
  • Omitting venue insurance or credentialing clauses, which can expose both exhibitor and staff to fines or denied access at events.
  • Leaving IP, confidentiality, and customer lead ownership undefined, leading to disputes over data captured during the event.

Potential Penalties and Legal Risks

Tax Penalties: IRC §6721 reporting fines
I-9 Violations: Civil fines (8 CFR §274a.2)
Breach Damages: Contract damages and reputational harm
Venue Fines: Sanctions for noncompliance with venue rules
Insurance Gaps: Uninsured liability for property or injury
Invalid Signature: Challengeable agreement if signing requirements unmet
