What a Full-Time Employment Agreement Covers

A Full-Time Employment Agreement is a written contract that sets the terms of an ongoing employer–employee relationship for a full-time role. It typically defines the position, duties, compensation, benefits, work schedule, probationary period, confidentiality obligations, intellectual property assignment, termination rights, notice requirements, and dispute resolution procedures. The agreement clarifies expectations on both sides, records the effective date and governing law, and creates an enforceable baseline for payroll, tax reporting, and benefit eligibility. Employers often pair it with onboarding documents such as the I-9, tax forms, and benefits enrollment materials.

Why a Written Agreement Matters for Employers and Employees

A written Full-Time Employment Agreement reduces ambiguity about duties, pay, and termination while creating a record that supports compliance and dispute resolution. It also enables consistent onboarding, protects confidential information and IP, and can limit future litigation by documenting notice, severance, and arbitration clauses. Electronic signatures executed under ESIGN (15 U.S.C. ch. 96) or state UETA statutes are valid where allowed, so long as intent, consent, attribution, and retention requirements are met.

Why a Written Agreement Matters for Employers and Employees

Who commonly prepares and signs this agreement

Employers, HR teams, hiring managers, in-house counsel, and new hires all interact with Full-Time Employment Agreements during recruitment and onboarding.

  • Hiring managers use the agreement to document role scope, objectives, and start date for a new hire.
  • Human resources teams use it to record salary, benefits, and required onboarding steps.
  • In-house or external counsel review restrictive covenants, severance, and compliance provisions before execution.

Clear role assignments for preparing, reviewing, and signing the agreement reduce errors and speed time-to-hire.

Primary signatories and reviewers

HR Manager

Responsible for populating the template with position, compensation, and benefits data, coordinating signatures, and retaining records. HR usually enforces onboarding timelines and ensures I-9 and payroll forms are completed within regulatory windows.

Company Counsel

Reviews non-compete, confidentiality, and termination language for enforceability under applicable state law and advises on arbitration, restrictive covenants, and statutory compliance before the agreement is issued.

Essential information to collect in the agreement

Employee Name: Full legal name
Employer Name: Legal entity name
Effective Date: MM/DD/YYYY
Position Title: Official job title
Compensation: Salary or wage details
Work Location: City, state, remote status

Key legal risks and financial consequences

I-9 Noncompliance: Civil fines per 8 CFR §274a.2
Incorrect Tax Info: Backup withholding at 24%
Invalid Covenants: State law may void non-competes
Misclassified Worker: Tax and wage liabilities
Record Retention Failures: Penalties or audit exposure
Privacy Violations: HIPAA or state privacy penalties

Common drafting and execution mistakes to avoid

  • Using vague compensation language such as 'market rate' without a specific dollar amount or formula can cause disputes and payroll errors.
  • Failing to align the governing law clause with the employer’s principal place of business can complicate enforcement and venue selection.
  • Including overbroad restrictive covenants that conflict with state public policy risks unenforceability and potential litigation costs.
  • Neglecting to collect or properly retain I-9 and pay-related records within required retention windows can trigger audits and fines.

Core sections every professional agreement should include

A complete Full-Time Employment Agreement organizes rights and obligations into clear sections that support compliance, payroll, benefits administration, and risk management.

Confidentiality

State obligations to protect trade secrets and proprietary information during and after employment, including duration and remedies.

Termination & Severance

Restrictive Covenants
