Compliance with Policies: The Artist shall comply with Institution policies applicable to on-campus visitors, including supervision requirements when interacting with minors, and shall follow direction of Institution staff regarding student safety.

Indemnification and Liability

Indemnification: The Artist agrees to indemnify, defend, and hold harmless the Institution and its officers, employees, and agents from and against any claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising from the Artist's negligent acts or omissions or breach of this Agreement, except to the extent caused by the Institution's gross negligence or willful misconduct.

Limitation of Liability: Except for indemnification obligations and willful misconduct, neither party shall be liable for incidental, consequential, or punitive damages arising from this Agreement.

Cancellation and Force Majeure

Cancellation by Institution: If the Institution cancels less than days prior to the engagement, the Institution will pay cancellation fee equal to of the agreed fee, unless otherwise mutually agreed.

Force Majeure: Neither party shall be liable for failure to perform due to causes beyond reasonable control, provided prompt written notice is given and parties use reasonable efforts to reschedule.

Confidentiality; Records

Confidential Information: Each party agrees to keep confidential any non-public student records and information obtained in the course of this engagement to the extent required by law and Institution policy.

Governing Law and Dispute Resolution

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state where the Institution is located, without regard to conflict of law principles.
