GUEST FACULTY AGREEMENT

This Guest Faculty Agreement (the "Agreement") is entered into on by and between Institution Name: (hereafter "Institution") and Guest Faculty Name: (hereafter "Guest Faculty"). The parties agree as follows:

1. Appointment and Term

1.1 Appointment: Institution engages Guest Faculty to perform instruction, lecturing, evaluation and related duties for the course identified below pursuant to the terms of this Agreement.

2. Duties and Scope of Work

Guest Faculty shall prepare and deliver course materials consistent with Institution academic standards, submit final grades in accordance with published deadlines, and comply with applicable policies and procedures. Guest Faculty is expected to attend required faculty meetings and coordinate with assigned department liaison.

3. Compensation and Expenses

All reimbursements require prior written approval and submission of itemized receipts consistent with Institution policy. Payments are subject to Institution accounting procedures and any required reporting.

4. Status; Tax and Benefits

Guest Faculty acknowledges and agrees that the relationship created by this Agreement is that of an independent contractor and not an employee, unless otherwise required by law. Guest Faculty will be responsible for all federal, state and local taxes arising from compensation paid under this Agreement.

5. Intellectual Property and Recordings

Unless otherwise agreed in writing, intellectual property and scholarly works created by Guest Faculty in the course of teaching (excluding pre-existing materials) shall remain the property of Guest Faculty, subject to a nonexclusive, royalty-free license granted to Institution to use, reproduce and archive materials for educational purposes. Institution may record classroom sessions only if Guest Faculty grants permission below.

6. Confidentiality and Student Records

Guest Faculty shall maintain the confidentiality of student records and other nonpublic information in accordance with applicable law and Institution policy. Guest Faculty agrees not to disclose confidential information except as required by law or with prior written authorization.

7. Background Check, Credentials and Compliance

This Agreement is subject to satisfactory verification of Guest Faculty credentials and any required background checks. Guest Faculty represents that all information provided regarding qualifications is true and complete.

8. Insurance and Indemnification

Guest Faculty shall maintain appropriate professional insurance coverage where applicable and shall indemnify and hold harmless Institution from claims arising out of Guest Faculty's negligent acts or omissions in the performance of duties under this Agreement, except to the extent caused by Institution's gross negligence or willful misconduct.

9. Termination

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the proposed termination date. Institution may terminate immediately for cause, including breach of Institution policy or failure to meet professional standards.

10. Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of and any disputes shall be resolved in the state or federal courts located in that jurisdiction.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements. Any amendments must be in writing and signed by both parties. If any provision is held invalid, the remainder shall continue in full force and effect.
