Appointment: Program hereby appoints Head Mentor to serve as Head Mentor for the program cohort or activity specified below, and Head Mentor accepts the appointment on the terms and conditions set forth in this Agreement.

Expected Time Commitment: Head Mentor will commit to a regular schedule of mentoring activities, meetings, and supervisory tasks totaling approximately .

Term, Renewal, and Termination

Term: This Agreement commences on the Effective Date and continues for a term of unless earlier terminated as provided below.

Termination for Cause: Either party may terminate immediately for material breach, failure to maintain required clearances, or conduct that endangers students. Termination without cause requires written notice.

Training, Policies & Compliance

Head Mentor shall complete all Program-required trainings, comply with Program policies and codes of conduct, and follow reporting procedures for suspected abuse, neglect, or other safety concerns. Noncompliance may constitute grounds for disciplinary action or termination.

Confidentiality, Records and Intellectual Property

Confidential Information: Head Mentor will not disclose confidential student information, Program records, or proprietary materials except as required by law or with written authorization. Head Mentor will comply with applicable laws and Program policies governing student privacy.

Work Product and Materials: Materials created by Head Mentor in the course of performing duties shall be the property of Program unless otherwise agreed in writing. Head Mentor grants Program a perpetual, nonexclusive license to use such materials for educational purposes.

Insurance and Indemnification

Indemnification: Head Mentor agrees to indemnify and hold harmless Program and its officers, employees, and agents from third-party claims arising from Mentor's negligent acts or willful misconduct in performance of services under this Agreement, except to the extent caused by Program's gross negligence or willful misconduct.

Records, Reporting and Evaluation

Head Mentor shall maintain accurate records of mentoring activities, attendance, and incidents, and submit reports as required by Program. Program shall conduct periodic performance evaluations and may require corrective action plans.

Governing Law and Dispute Resolution

Governing Law: This Agreement is governed by the laws of the state where Program is located. Any dispute arising under this Agreement shall be resolved first by good faith negotiation and, if unresolved, by mediation prior to any court action.
