What the HR Authority Agreement is and when it applies

An HR Authority Agreement is a written instrument that appoints an individual or department to act on behalf of an employer for human resources matters such as payroll actions, benefits enrollment, personnel file access, and third-party communications. The agreement defines the scope of authority, duration, and any limits on decision-making. In the United States, these agreements can be executed electronically when they meet legal-validity tests under the ESIGN Act (15 U.S.C. ch. 96) and state UETA statutes; HIPAA and other sector rules may impose extra privacy or consent requirements.

Why a clear HR Authority Agreement matters for compliance and operations

A precise agreement reduces ambiguity about who may access employee records, approve payroll changes, or enroll dependents in benefits, lowering legal and operational risk.

Why a clear HR Authority Agreement matters for compliance and operations

Who typically prepares and signs an HR Authority Agreement

Common preparers and signers include in-house HR leaders, corporate counsel, and department managers who require documented delegation of HR powers.

  • HR leadership and HR generalists who administer benefits, payroll, and personnel files for the employer.
  • Corporate counsel or external employment attorneys who draft limits, revocation clauses, and governing law provisions.
  • Finance or payroll administrators who need documented authority to change pay, deductions, or tax withholding.

The completed agreement should go to payroll, benefits vendors, and the employee’s personnel file for reference and compliance.

Core sections to include in a professional HR Authority Agreement

A complete HR Authority Agreement combines identity fields, a clear scope of authority, effective dates, signature blocks, privacy safeguards, and revocation mechanics to limit disputes and ensure compliance.

Parties

Identify the employer and the designated HR agent by legal name, title, and contact information for unambiguous attribution and enforcement.

Scope of Authority

Describe specific powers being delegated (payroll adjustments, benefits enrollment, personnel file access), including any exclusions and required approvals.

Effective Period

State the effective date and termination date or event; include automatic renewal or review intervals where applicable.

Privacy Protections

Include HIPAA or other data-protection acknowledgements, minimum necessary access, and procedures for handling protected health information when relevant.

Revocation

Specify how the authority may be revoked, notice methods, and the effective date of revocation to prevent unauthorized actions.

Signatures

Provide a signature block with printed name, title, date, and witness/notary lines if state law or company policy requires authentication.

Common mistakes to avoid when preparing the agreement

  • Vague scope language that allows unintended actions; specify exact duties and limits to prevent disputes.
  • Mismatched names or titles between corporate records and signatures, which can delay vendor acceptance or create invalidation risk.
  • Failing to address privacy or HIPAA if the authority includes access to protected health information, exposing the employer to regulatory risk.
  • Not documenting revocation procedures and notice periods, which can allow unauthorized continued access after change of personnel.

Penalties and risks from incorrect or incomplete agreements

HIPAA Fines: Significant fines
I-9 Violations: Civil penalties possible
Vendor Rejection: Delayed processing
Unauthorized Changes: Payroll errors and liability
Contract Disputes: Litigation risk
Regulatory Scrutiny: Audit exposure
