What the HR Business Developer Agreement Is

The HR Business Developer Agreement is a written contract that sets terms between an employer or HR function and a business developer or agency engaged to identify, recruit, or develop business opportunities. It typically defines scope of services, compensation and commission structures, reporting and deliverables, confidentiality obligations, ownership of candidate or client data, and termination rights. The agreement clarifies expectations, reduces disputes by specifying milestones and invoicing cycles, and establishes which party bears expenses, background checks, and compliance obligations during the engagement.

Why a Clear Agreement Matters for HR and Business Development

A well-drafted HR Business Developer Agreement aligns performance expectations, protects confidential information, and defines payment and termination mechanics to reduce disputes and ambiguity between parties.

Why a Clear Agreement Matters for HR and Business Development

Who Typically Prepares or Signs This Agreement

The HR Business Developer Agreement is used by a mix of corporate HR teams, independent recruiters or sales development contractors, and legal or compliance reviewers who approve terms.

  • HR managers coordinating recruiting or partnership programs across departments and geographies.
  • Independent business developers, talent agencies, or referral partners working on commission.
  • In-house or external legal and compliance teams reviewing payment, IP, and confidentiality clauses.

Use this agreement when engaging external business development resources, formalizing referral arrangements, or documenting commission-based recruiting and client-introduction relationships.
