What the HR CNAI Agreement Covers

The HR CNAI Agreement (Confidentiality, Non‑Compete and Assignment of Inventions) is an employment‑stage contract used to document confidentiality obligations, post‑employment restrictions, and assignment of work product between an employer and a candidate or employee. It typically clarifies what information is confidential, whether the worker is restricted from competing after separation, and how inventions or intellectual property created during employment are assigned. The form is commonly used during hiring or onboarding to protect trade secrets, preserve ownership of inventions, and set expectations for post‑termination conduct while remaining adaptable to state law limits.

Why organizations use an HR CNAI Agreement

An HR CNAI Agreement creates clear, written obligations that protect proprietary information, secure IP ownership, and reduce later disputes. It helps HR and legal teams standardize onboarding, document consent to electronic records, and support defensible enforcement where permitted under state law and federal e‑signature statutes such as the ESIGN Act (15 U.S.C. ch. 96) and UETA.

Why organizations use an HR CNAI Agreement

Who typically completes or signs this agreement

The HR CNAI Agreement is completed by HR or recruiting teams and reviewed by legal counsel when needed.

  • HR and Talent Acquisition teams — prepare and issue the agreement during onboarding or offer stages.
  • Hiring managers and department leads — confirm role, responsibilities, and confidential data access requirements.
  • In‑house or outside counsel — review enforceability, choice‑of‑law, and state restrictions on restrictive covenants.

Signers include the candidate/employee and an authorized company representative; witnesses or notarization depend on state and clause type.

Core clauses to include in a professional HR CNAI Agreement

A robust HR CNAI Agreement groups related protections into discrete clauses so each obligation, limitation, and remedy is clear and enforceable.

Confidentiality

Defines protected categories (trade secrets, client lists, product roadmaps), permitted disclosures, and duration of confidentiality obligations; use precise scope language to avoid overbreadth.

Non‑Compete

Sets geographic, time, and activity limits. Note that enforceability varies widely by state; narrow tailoring improves the chance of enforcement.

Assignment of Inventions

Specifies that inventions created during employment are assigned to the employer and describes disclosure and disclosure timing obligations for inventions.

Non‑Solicitation

Prohibits solicitation of customers, clients, or employees for a limited period after separation; define target classes and exclusions clearly.

Term and Termination

States effective date, duration of post‑termination restrictions, and what events void or extend obligations (e.g., resignation for cause).

Dispute Resolution

Specifies governing law, venue, and whether arbitration is required; include severability and reformation clauses to preserve enforceability.

Practical tips for accurate and efficient completion

Adopt consistent processes and clear language to minimize rework and legal risk.

Verify names against government ID before sending
Confirm full legal names and matching dates of birth or ID numbers when required; mismatches are a common cause of signature disputes and may require re‑execution.
Use narrowly tailored restrictions
Draft non‑compete and non‑solicit clauses that are specific in scope, geography, and duration; overly broad restrictions increase the risk of invalidation under state law.
Keep parallel native and signed PDF copies
Store both the source document and the audit‑trail‑embedded signed PDF in secure archives so you can reproduce records for audits, litigation, or regulatory requests.
Log and retain audit trails consistently
Ensure every electronic signature event records signer email, IP address, timestamps, and authentication method to preserve attribution and defend enforceability.
