What the HR Co-Director Operations Agreement Covers

The HR Co-Director Operations Agreement is a bilateral employment and operating contract that documents the shared duties, decision-making authority, reporting lines, compensation, and operational responsibilities of two co-directors overseeing human resources and operations. It clarifies role splits (people operations, payroll, compliance), decision thresholds, budgeting authority, conflict-resolution steps, and transition provisions. The agreement also sets confidentiality, IP assignment where relevant, and termination processes so the organization can manage continuity when responsibilities overlap or when one co-director departs or is unavailable.

Why this agreement matters for governance and compliance

A clear HR Co-Director Operations Agreement reduces role ambiguity, speeds approvals, and documents authority for payroll, benefits, and disciplinary actions. It helps prevent internal disputes over operational control and supports consistent compliance with employment, benefits, and privacy laws, including ESIGN (15 U.S.C. ch. 96) and applicable state electronic transaction rules.

Why this agreement matters for governance and compliance

Who typically prepares and signs this agreement

Use this document as a governance tool to codify responsibilities, reduce disputes, and provide clear sign-off authority for HR and operations decisions.

  • Senior HR leaders and COOs who share operational responsibilities.
  • Small to mid-size companies with distributed leadership structures.
  • Legal or HR counsel reviewing authority, compensation, and risk allocation.

Core elements to include in a professional HR Co-Director Operations Agreement

A complete agreement balances operational detail with governance protections. It should record authority lines, decision thresholds, financial limits, reporting obligations, confidentiality, and an exit plan so both parties and the company know how routine and exceptional matters are handled.

Authority Scope

Define specific responsibilities (recruiting, payroll, vendor approval) and any shared versus unilateral decision rights, including dollar thresholds for financial approvals and what requires joint sign-off.

Decision Process

Describe meeting cadence, escalation procedures, tie-breaker mechanisms, and how disagreements are escalated to the CEO or board to avoid operational paralysis.

Compensation

Specify base salary, bonus structure, equity, expense reimbursement, and how compensation is adjusted if duties change or one co-director assumes additional responsibilities.

Confidentiality

Include standard confidentiality and non-disclosure provisions covering personnel records, compensation data, investigation findings, and any sensitive operational plans.

Compliance

Assign responsibility for statutory compliance (EEO, FLSA, I-9 completion, benefits administration), including who signs filings and who maintains supporting records.

Termination

Describe resignation, removal, severance, post-termination obligations, handover processes, and how interim authority is assigned to maintain continuity.

Common mistakes to avoid when preparing this agreement

  • Leaving authority limits vague, which can lead to disputes over vendor approvals and unbudgeted spend.
  • Failing to specify who signs statutory filings or who maintains I-9 and payroll records, creating compliance exposure.
  • Using inconsistent dates or ambiguous effective dates that complicate benefit eligibility or severance obligations.
  • Not preserving an audit trail or using weak signer authentication for sensitive HR actions and compensation changes.

Primary legal and operational risks if the agreement is incorrect

Enforceability Risk: Ambiguous terms may hinder contract enforcement
Compliance Gaps: Missing file-keeping responsibilities increase regulatory risk
Payroll Errors: Untimely updates can cause wage or tax problems
Data Privacy: Improper handling of PII may violate HIPAA or state law
Litigation Exposure: Vague termination provisions can raise wrongful termination claims
Operational Disruption: Lack of interim authority leads to delays in approvals
