What the HR Consulting Inventions Agreement Covers

The HR Consulting Inventions Agreement is a written contract that defines ownership, disclosure, and assignment of inventions, innovations, and intellectual property created in the course of a consulting engagement. It clarifies whether an independent consultant, contractor, or employee assigns patent, copyright, or trade secret rights to the client or retains ownership while granting a license. The agreement typically addresses invention disclosure obligations, compensation or consideration, confidentiality, invention review procedures, and post-engagement obligations to protect the client’s business interests and avoid later disputes.

Why this Agreement Matters for HR and Legal Teams

A clear inventions agreement reduces ambiguity about who owns innovation created during consulting work and prevents future IP disputes that can be costly and disruptive.
