What an HR Contingent Fee Engagement Is

An HR Contingent Fee Engagement is a written agreement between an employer and a recruiting or placement firm that ties payment to successful placement of a candidate. The contract sets the contingency fee percentage or flat fee, scope of searches, exclusivity, replacement guarantees, and payment timing. It establishes responsibilities for candidate vetting, pre-employment checks, and confidentiality. In the United States these agreements are contractual instruments enforceable under general contract law and subject to applicable statutory exceptions for notarization or regulated industries.

Why a Clear Contingent Fee Agreement Matters

Use an HR Contingent Fee Engagement to clarify recruiter obligations, payment triggers, and replacement remedies. It protects employers from ambiguous billing, sets measurable performance milestones, and reduces disputes by documenting timelines, candidate ownership, and terms governing refunds or credit for early terminations.

Why a Clear Contingent Fee Agreement Matters

Who Typically Prepares and Signs This Agreement

Common users include HR leaders, hiring managers, and third-party recruiting firms involved in contingent placements.

  • Internal HR teams managing external recruiter relationships and budget approvals.
  • Hiring managers who need clear candidate ownership, replacement terms, and timelines.
  • Recruitment agencies that require a written fee schedule and payment triggers.

Tailor the document to reflect who signs, the governing jurisdiction, dispute resolution procedures, and any industry-specific compliance obligations.

Core Sections to Include in the Agreement

Essential sections of an HR Contingent Fee Engagement define fees, search scope, candidate ownership, guarantees, confidentiality, and dispute resolution in clear contractual terms.

Fee Structure

Specify the contingency percentage or flat fee, full invoicing schedule, payment due dates, acceptable payment methods, and rules for prorations, credits, or refunds if a placement terminates early.

Search Scope

Define the positions covered, salary bands, geographic limits, exclusivity period, minimum candidate qualifications, interview process expectations, and whether passive sourcing or retained search fees apply.

Candidate Ownership

State how long a candidate remains tied to a search, how prior relationships or referrals are documented, when an introduction credits the recruiter, and exceptions for rehiring or internal transfers.

Replacement Guarantee

Include the guarantee period length, conditions triggering free replacement or pro-rated refunds, required notice timelines for termination, and documented steps for candidate replacement and onboarding support.

Confidentiality

Detail confidentiality obligations, duration of non-disclosure, non-solicitation clauses for placed candidates, secure data handling, permitted disclosures, and any industry-specific addenda such as HIPAA or financial privacy provisions.

Governing Law

Specify the governing state law and jurisdiction for disputes, whether mediation or arbitration is required, venue for court actions, and the parties' agreement on attorneys' fees, injunctive relief, or other remedies.

Common Pitfalls to Avoid

  • Vague fee language that omits triggers or dates leads to disputes and delayed payments; specify hire versus start date and invoicing deadlines to reduce ambiguity.
  • Failing to document candidate ownership or prior contacts creates credit disputes; list prior referrals, time windows, and criteria for what constitutes a valid introduction.
  • Not including replacement guarantees or short guarantee windows increases employer risk and can lead to repeated billing; state repair terms, timing, and replacement notice requirements.
  • Using inconsistent legal names, missing signature authority, or unsigned pages can render the agreement unenforceable; require printed names, titles, and signatory authority statements.

Legal and Financial Risks of Errors

1099 Late Filing: IRC §6721: $60–$330 per form.
Intentional Disregard: IRC §6721: $660+ per form.
