What the HR Director of Business Development Agreement Is

The HR Director of Business Development Agreement is a written contract that sets out the duties, reporting relationships, compensation, performance targets, and termination terms for a senior HR leader responsible for business development activities. It combines employment provisions (salary, benefits, equity), role-specific deliverables (sales enablement, strategic partnerships), and protections (confidentiality, IP assignment, restrictive covenants). The agreement also defines effective dates, notice periods, and dispute resolution terms. When executed properly it creates enforceable obligations between the employer and the director while documenting expectations for performance and post-employment restrictions.

Why a Tailored Agreement Matters

A dedicated agreement clarifies compensation triggers, quota attribution, and the director’s authority to commit resources, reducing disputes and aligning incentives between HR and sales functions.

Why a Tailored Agreement Matters

Who Typically Uses This Agreement

Organizations use this agreement when hiring or promoting a senior HR leader with business development responsibilities, or when engaging such a leader as a contractor.

  • High-growth companies hiring a revenue-oriented HR Director to drive partnerships and talent-driven deals.
  • Established enterprises documenting role-based compensation and quota attribution for cross-functional leadership.
  • Consulting firms contracting a Director-level resource for time-limited growth projects and introductions.

Use the agreement to set measurable KPIs, protect confidential data, and avoid classification or payment disputes through clear role definitions.

Who Can Sign

Authorized Company Signer

Typically the CEO, CFO, or an officer with delegated authority signs for the employer; board authorization may be required for equity grants or executive-level commitments.

Director / Employee

The HR Director or contractor signs to accept terms. For contractors, include business name and EIN; for employees, use legal full name as shown on ID.

Core Components to Include

A complete agreement combines role detail, compensation mechanics, legal protections, and practical administration items to avoid ambiguity and legal risk.

Position Scope

Define responsibilities, direct reports, and business development objectives so performance evaluation and authority to act are clear and measurable.

Compensation

Specify base salary, variable pay formula, commission or bonus metrics, timing of payments, and treatment of commissions upon termination.

Equity & Benefits

Detail stock option grants, vesting schedule, benefit eligibility, and any special relocation or signing bonuses tied to performance.

Confidentiality

Include a robust confidentiality clause and IP assignment to protect trade secrets, candidate data, sales plans, and proprietary processes.

Restrictive Covenants

Address non-solicitation, non-compete (if permitted), and non-disclosure terms, including duration, geographic scope, and carve-outs for permitted activities.

Termination Terms

State termination for cause and without cause, severance eligibility, notice requirements, and treatment of equity and commissions on exit.

Use Clear Performance Metrics
Define measurable KPIs and the method of measurement to avoid later disagreements about commission eligibility and bonus payouts.
Coordinate with Payroll Early
Confirm pay cycles, tax treatment, and equity setup with payroll to prevent payment delays and incorrect withholdings.
Limit Restrictive Covenants Carefully
Draft non-compete and non-solicit clauses narrowly to increase enforceability, and tailor duration and geography to legitimate business interests.
Maintain Executed Records
Store signed agreements with secure backups, and retain an immutable audit trail showing signer attribution and timestamps for legal evidence.
