HR Insider Trading Policy

Effective Date:

Purpose and Scope

This Insider Trading Policy sets forth mandatory rules and procedures designed to prevent unlawful or improper trading in the securities of the Company and other issuers whose confidential information an employee may obtain. It applies to all employees, officers, members of the board of directors, consultants, contractors and temporary staff (collectively "employees").

Personal Information

Position Information

Policy Definitions

Confidential Information means material non-public information about the Company or another issuer that could reasonably be expected to affect the market price of securities or that a reasonable investor would consider important in making an investment decision. Insider Trading means buying or selling securities while in possession of Confidential Information or tipping others who trade on the basis of such information.

Prohibited Conduct

Employees are strictly prohibited from: (a) trading in securities of the Company while aware of Confidential Information; (b) disclosing Confidential Information to any person who may trade or tip others; (c) recommending or suggesting transactions in securities while aware of Confidential Information; and (d) engaging in any other conduct that violates applicable securities laws. These prohibitions apply regardless of the size of the transaction or the relationship to the recipient.

Trading Windows and Blackout Periods

The Company may establish open trading windows and blackout periods. Trading during an open window is subject to compliance with pre-clearance rules. Trading during a blackout period is strictly prohibited. Employees must not trade if they possess Confidential Information that has not been publicly disclosed.

Current blackout period start:    end:

Pre-Clearance and Waivers

Employees identified as insiders or who possess Confidential Information must obtain written pre-clearance from the Compliance Officer prior to any purchase or sale of Company securities. Requests for a waiver or exception must be submitted in writing and will be granted only under exceptional circumstances in writing by the Compliance Officer and the Chief Legal Officer.

Confidentiality and Tipping

Employees must safeguard Confidential Information and must not disclose it to family members, friends, or business contacts. Tipping — providing Confidential Information to another person who trades on the basis of that information — is prohibited and exposes both the tipper and tippee to liability.

Reporting Obligations

Employees must immediately report suspected violations of this Policy, suspicious trading activity or unauthorized disclosures to the Compliance Officer. Reports may be made confidentially and will be investigated promptly. Retaliation against good-faith reporters is prohibited.

Recordkeeping and Cooperation

Employees must preserve documents and communications relevant to trading decisions and cooperate fully with any internal or regulatory investigation. The Company will maintain records of pre-clearance decisions, waiver requests and any relevant trading activity in accordance with internal retention policies and legal requirements.

Disciplinary Action and Sanctions

Violations of this Policy may result in disciplinary action up to and including termination of employment, disgorgement of profits, civil penalties and criminal prosecution. The Company reserves the right to take all appropriate remedial and disciplinary measures.

Legal Disclosures

At-Will Employment: Nothing in this Policy creates a contract of employment. Employment is at will and may be terminated by either the employee or the Company at any time, with or without cause.

Equal Opportunity: The Company is an equal opportunity employer and prohibits unlawful discrimination.

What the HR Insider Trading Policy Covers

An HR Insider Trading Policy is a formal company document that sets rules and processes to prevent employees from trading on material non-public information (MNPI) about the employer or its counterparties. It defines covered persons, identifies classes of MNPI, sets blackout periods and pre-clearance requirements, and establishes reporting, monitoring, and disciplinary procedures. The policy coordinates HR, legal, and compliance responsibilities to ensure consistent education, acknowledgments, and retention of records supporting compliance with federal securities laws and internal governance.

Why a Written Policy Matters for Employers

A documented policy reduces legal and regulatory risk by clarifying prohibited conduct, standardizing pre-clearance and reporting, and creating evidence of reasonable compliance efforts. It helps employees understand obligations, supports prompt enforcement, and strengthens the company’s position during audits or regulatory inquiries.

Why a Written Policy Matters for Employers

Who Drafts, Reviews, and Follows the Policy

HR, legal, compliance, and affected employees each have distinct duties under the policy.

  • Human Resources — drafts policy language, coordinates acknowledgments, training, and record retention.
  • Legal / Compliance — defines MNPI, clearance procedures, and disciplinary guidelines; conducts periodic reviews.
  • Executives & Insiders — follow stricter trading controls, complete disclosures, and submit pre-clearance requests.

Clear role assignment ensures accountability for monitoring trades, conducting training, and enforcing sanctions consistently.

Step-by-Step: Drafting to Distribution

Use this sequence to prepare, approve, and publish an HR Insider Trading Policy for your organization.

  • 01
Draft: Collect insider lists, sample clauses, and initial language.
  • 02
Review: Legal and compliance review for federal securities law alignment.
  • 03
Approve: Obtain executive sign-off and board acknowledgment when appropriate.
  • 04
Distribute: Share policy, collect signed acknowledgments, and schedule training.

Core Sections to Include in a Professional Policy

A robust HR Insider Trading Policy contains modular sections that address scope, behavior, technical controls, and enforcement so it is actionable and defensible.

Scope & Definitions

Clearly state which employees and contractors are covered, define material non-public information (MNPI) with concrete examples, and identify any excluded activities or permitted transactions.

Trading Windows

Specify regular blackout windows and event-driven restrictions tied to earnings, M&A, or other MNPI; explain pre-clearance timing and exceptions with examples.

Pre-Clearance Process

Describe the request workflow, required attestations, authentication for approvers, standard turnaround times, and documentation retained for audit.

Reporting & Recordkeeping

Detail what trading and disclosure records must be kept, who receives them, retention periods, and where signed acknowledgments are stored.

Enforcement

Outline progressive disciplinary measures, investigation procedures, and the role of HR, legal, and executive leadership in appeals.

Training & Acknowledgment

Require periodic training, annual re-acknowledgment, and a mechanism to certify understanding and document completion.

Required Information and Fields at a Glance

Employee Name: Full legal name
Job Title: Current position
Equity Holdings: Grant and ticker details
MNPI Categories: Enumerated examples

Penalties and Risks for Noncompliance

SEC Enforcement: Civil fines and disgorgement possible
Criminal Penalties: Potential imprisonment for willful violations
Employment Action: Termination or other disciplinary measures
Civil Liability: Shareholder suits and damages exposure
Reputational Harm: Public disclosure damage to brand

Common Mistakes to Avoid

  • Failing to name covered persons precisely; ambiguous lists create enforcement gaps and inconsistent treatment across teams.
  • Not documenting pre-clearance decisions or timelines; absent records weaken the company’s compliance posture during audits.
  • Applying blackout rules inconsistently across senior leaders and project teams; inconsistency invites internal disputes and external scrutiny.
  • Using outdated policy language that conflicts with current securities laws or recent transaction definitions, leaving the policy unenforceable.

How to Configure an Online Policy Workflow

Set up a digital workflow for approvals, signatures, and secure storage to simplify distribution and evidence collection.

Field Configuration
Signature Method Use eSignature with audit trail and timestamp
Authentication Email plus optional SMS or SSO for approvers

Where to Send and Store the Completed Policy

Follow a simple routing path so completed policies are available for audits and internal review.

  • Employee Receipt: Distribute signed policy copies to employees
  • HR Archive: Store master signed copies in HR records
  • Compliance Review: Provide copies to compliance and legal teams

Illustrative Use Cases

Two common scenarios show how HR, compliance, and leadership interact to operationalize the policy.

Case Study 1

A public company centralizes pre-clearance via HR and legal to prevent trades during M&A.

  • Trading windows tied to deal milestones reduce inadvertent violations.
  • The coordinated process ensured consistent employee notices, rapid enforcement of hold orders, and documented pre-clearance logs for internal audit and regulator review.

Case Study 2

A mid-size issuer required annual acknowledgments and role-based blackout rules.

  • Automated reminders and eSign reduced lapses.
  • Results included near-immediate acknowledgment collection, simplified audit production, and clearer evidence of good-faith compliance during an internal review.
