What the HR Intuition Coaching Agreement Is and When to Use It

The HR Intuition Coaching Agreement is a written contract between an HR coach or coaching firm and an individual or corporate client that sets the scope, schedule, fees, confidentiality obligations, and dispute-resolution terms for career, leadership, or HR-process coaching services. It documents deliverables, session cadence, payment milestones, cancellation or rescheduling policies, and ownership of work product or assessments. The agreement provides clarity on responsibilities, limits liability, and establishes the legal basis for enforcement, including whether electronic signatures are acceptable under ESIGN and UETA for the parties involved.

Why a Written Coaching Agreement Protects Both Parties

A clear HR Intuition Coaching Agreement reduces misunderstandings about services, timing, and fees while protecting confidential employee or client information under applicable privacy laws.

Why a Written Coaching Agreement Protects Both Parties

Who Typically Uses this Agreement and How They Benefit

The HR Intuition Coaching Agreement is used by independent HR coaches, coaching firms, internal HR business partners, and clients (individual leaders or corporate buyers) who need documented expectations and protections.

  • Independent HR Coaches — Establishes fees, cancellation policy, and IP ownership for assessments and materials.
  • Corporate HR Teams — Integrates coach deliverables with organizational goals, confidentiality protections, and vendor controls.
  • Individual Clients — Records session counts, expected outcomes, payment schedule, and dispute resolution preferences.

Properly executed agreements support procurement, internal compliance, insurance requirements, and secure handling of any protected data exchanged during coaching.

Who Signs and Who Approves

HR Director

Signs on behalf of an employer when coaching is purchased as a service; responsible for confirming budget authority, privacy safeguards for employee data, and contract routing through procurement or legal review prior to execution.

Individual Client

Signs when purchasing coaching privately or as an employee opting into coaching; must confirm identity, payment method, and consent to electronic records if the agreement is delivered electronically.

Core Elements to Include in the Agreement

A professional HR Intuition Coaching Agreement should explicitly define the services, schedule, payment terms, confidentiality, data handling, cancellation policy, deliverables, and dispute-resolution process to minimize risk and set clear expectations.

Scope of Services

Describe coaching type, session count and duration, assessments, and any deliverables such as written action plans or reports.

Fees & Payment

State total fees, deposit requirements, invoicing schedule, accepted payment methods, and late fee conditions.

Scheduling & Cancellation

Define booking windows, notice required to reschedule or cancel, make-up sessions, and fee consequences for late cancellations.

Confidentiality

List confidentiality obligations, permitted disclosures (e.g., legal process), and how aggregated non-identifiable data may be used.

Data Handling

Specify storage, retention, security controls for personal data, and whether a HIPAA business associate agreement is required.

Termination & Remedies

State termination rights, prorated refunds, dispute resolution method, and governing law for contract interpretation.

Where the Agreement Goes After Signing

Routing depends on whether the client is an individual or an organization; standard destinations include procurement, HR file, coach records, and secure archive.

  • Client Copy: Delivered to the client for their records, typically by email or access link.
  • Coach Records: Stored in the coach’s secure client management system for scheduling and billing.
  • Corporate HR: If employer-sponsored, a copy goes to HR or procurement for vendor files and expense reconciliation.
