What the HR Loan Addendum Is

An HR Loan Addendum is a written amendment to an employment relationship that documents the terms under which an employer provides a loan to an employee. It sets loan amount, repayment schedule, interest (if any), tax treatment, default remedies, and conditions for forgiveness or acceleration. The addendum supplements the employee’s existing contract or offer letter and creates a clear record to protect both parties, reduce misclassification risk, and ensure payroll and tax reporting obligations are met.

Why Use a Formal HR Loan Addendum

A formal addendum clarifies repayment terms, documents consent, and supports consistent payroll and tax handling; it reduces disputes and helps meet regulatory and recordkeeping requirements.

Why Use a Formal HR Loan Addendum

Who Commonly Prepares and Signs This Addendum

HR, payroll, and legal teams draft or approve loan addenda while the employee signs as borrower.

  • Human Resources or Payroll administrators who process payroll adjustments and track repayments.
  • In-house Counsel or outside employment counsel who review legal and tax language.
  • Employees receiving loans who must acknowledge terms and repayment obligations.

Clear role assignment—who drafts, who approves, who signs—avoids processing delays and compliance gaps.

Who Signs and Who Authorizes

HR Director

As the authorized representative of the employer, the HR Director or delegated signatory approves loan terms, ensures payroll adjustments are configured correctly, and maintains the executed addendum in company records for audit and compliance purposes.

Employee Borrower

The employee signs to acknowledge the loan amount, repayment schedule, tax treatment, and remedies for default; their signature creates binding obligations and triggers payroll withholding or reporting actions as specified.

Essential Sections to Include

A professional HR Loan Addendum should include clearly labeled sections that establish the loan, repayment mechanics, tax treatment, remedies, and amendment procedures.

Loan Description

Specify principal amount, disbursement date, and whether funds are cash, relocation allowance, or another benefit; avoid vague phrasing that could create interpretation issues.

Repayment Terms

Detail repayment schedule, installment amounts, first payment date, and methods (payroll deduction, ACH) so payroll can implement withholding accurately.

Interest and Fees

State interest rate, if applicable, late fees, and how interest accrues; explain taxability of interest to align accounting and IRS reporting.

Tax Treatment

Declare whether forgiven or unrepaid amounts are treated as taxable wages and how the employer will report income (W-2, 1099-NEC) to avoid reporting errors.

Default Remedies

Describe actions on default—repayment acceleration, wage garnishment consent, or offsets—and reference applicable law for enforceability.

Amendment and Termination

Specify how the addendum can be modified, effective date for amendments, and conditions under which the loan can be forgiven or rescinded.

  • Neglecting to store the executed agreement in a secure, searchable HR system tied to payroll records.

Practical Tips for Accurate Completion

Follow these practices to reduce risk, streamline payroll, and maintain an auditable record of employer loans.

Use a standardized template
A consistent template reduces interpretation differences, speeds legal review, and ensures all necessary clauses and fields are present for each loan.
Align with payroll systems
Coordinate with payroll to verify deduction codes, effective dates, and net-pay impacts before sending the addendum for signature.
Document tax elections
Record whether amounts are wages or other income types to guide correct W-2 or 1099 reporting and avoid IRS penalty exposure.
Retain an audit trail
Keep a signed PDF, timestamp, and event log showing consent and execution to satisfy ESIGN/UETA evidentiary requirements.
