Eligibility; Award Types; Target Opportunity

Eligibility will be determined by the Administrator. Eligible persons may receive Awards in the form of restricted stock units, performance shares, stock options, or cash-based long-term incentives. The Administrator will establish for each Participant a target award opportunity expressed as a percentage of base salary or as an absolute award amount; such target may be adjusted for job level and performance.

Performance Metrics and Measurement

Performance metrics, which may include total shareholder return, earnings per share, revenue growth, adjusted operating income, or other quantifiable measures, will be established for each Performance Period. The Administrator will define the weighting, targets, threshold, and maximum levels and the methodology for measurement, including any exclusions or adjustments for extraordinary items. Measurement shall be final and binding as determined by the Administrator.

Vesting; Forfeiture; Pro Rata Treatment

Unless otherwise provided in the award agreement, Awards will vest upon satisfaction of time-based or performance-based conditions set forth in the applicable award. If a Participant's service terminates prior to vesting, unvested Awards will be forfeited except as otherwise provided in the award agreement or as determined by the Administrator. The Administrator may provide for pro rata vesting for partial service in a Performance Period in its discretion.

Termination, Retirement, Disability and Death

The treatment of Awards upon termination of service (including termination for cause), retirement, disability or death will be governed by the award agreement. The Administrator may adopt objective or subjective definitions for "cause" and "retirement" for the purposes of these Rules and may impose additional conditions on continued participation.

Change in Control

In the event of a Change in Control, Awards may be accelerated, settled, assumed or substituted as provided in the award agreement or as otherwise determined by the Administrator. The Administrator shall have the discretion to apply a pro rata or full-accelerated vesting formula depending on transaction timing and the nature of the Award.

Clawback, Recovery and Forfeiture Provisions

Awards shall be subject to recoupment, forfeiture and recovery to the extent required by law, Company policy or as otherwise determined by the Administrator. The Administrator may require repayment or cancel Awards to the extent that the Participant engaged in misconduct, a restatement of financial results, or other events giving rise to recovery under applicable law or Company policy.

Tax Withholding and Compliance

The Company will withhold applicable taxes from any Award or payment. Participants must comply with all tax-related requirements and provide necessary documentation. The Company may require cash settlement of any tax withholding liability or permit share withholding as permitted under the award agreement.

Administration; Delegation

The Administrator shall have full authority to interpret the Plan and these Rules, promulgate policies, make factual determinations, resolve disputes, and make all other determinations necessary for administration. The Administrator's decisions shall be final and binding to the maximum extent permitted by law.

Amendment and Termination

The Company may amend, modify or terminate the Plan or these Rules at any time; provided that no amendment shall materially impair the rights of a Participant with respect to an outstanding Award without the Participant's consent unless permitted by the award agreement or required by applicable law.

Governing Law; Dispute Resolution

These Rules and all determinations under the Plan shall be governed by the substantive law of the state specified in the award agreement. Any dispute arising under or in connection with these Rules shall be resolved in accordance with the dispute resolution procedures established by the Administrator.

Notices

Notices to the Company shall be sent to the address below and to the Participant at the address on file. Either party may update its notice address by written notice to the other in accordance with these Rules.

Confidentiality

Participants shall maintain the confidentiality of non-public Company information related to the Plan, performance metrics, and Award valuations unless disclosure is required by law. Breach of confidentiality may result in forfeiture of Awards and other disciplinary actions.

Participant Certifications and Authorizations

By enrolling or accepting an Award, the Participant represents and warrants that all personal and employment information provided is true and complete, that the Participant is not subject to any contractual restriction preventing acceptance of an Award, and authorizes the Company to verify past employment and other background information as necessary for administration of the Plan.

Data Protection and Privacy

The Company will process Participant personal data for purposes of administering the Plan and complying with legal obligations. Participants consent to such processing to the extent required for administration and tax reporting.

Acknowledgement of Award Agreement

Each Award is subject to the terms of an award agreement which may contain additional provisions, including but not limited to restrictions on transfer, change in control provisions, and arbitration clauses. The terms of the award agreement shall govern in the event of any inconsistency with these Rules.

Special Provisions and Adjustments

The Administrator may make equitable or mathematical adjustments in response to corporate transactions, stock splits, reorganizations, or similar events to preserve the economic intent of outstanding Awards.

What the HR LTIP Rules Template Is and When it Applies

The HR LTIP Rules Template is a standardized document that records the terms, eligibility, and administration rules for a company's long-term incentive plan (LTIP). It defines award types (stock options, restricted stock units, performance shares), grant and vesting schedules, performance metrics, tax withholding and reporting responsibilities, change-of-control treatment, and termination consequences. The template supports consistent grant administration, helps HR and legal teams enforce plan provisions, and provides the written rules needed for participant communications, audit trails, and tax reporting.

Why a Clear LTIP Rules Template Matters for HR and Finance

A concise rules document reduces ambiguity about vesting, payment triggers, and tax obligations, protects plan qualification, and creates an auditable record for internal controls and external review.

Why a Clear LTIP Rules Template Matters for HR and Finance

Who Typically Creates, Manages, and Relies on the LTIP Rules Template

HR, compensation committees, finance, and corporate legal teams all play a role in creating and enforcing LTIP rules; the template centralizes their inputs and approvals.

  • HR and Compensation — Draft and maintain plan language; manage participant communications and enrollments.
  • Legal and Compliance — Ensure tax qualification, SEC reporting alignment, and contract enforceability.
  • Finance and Payroll — Calculate withholding, accounting treatment, and tax reporting for awards.

Well-defined roles in the template speed approvals and reduce errors during grant cycles and audits.

Authorized Signatories and Administrators

Plan Administrator — HR Director

The HR director or delegated plan administrator typically manages day-to-day operations, participant communications, and recordkeeping. They prepare grant paperwork, track vesting, and coordinate with payroll and legal on tax and compliance issues.

Authorized Officer — CFO or CEO

A senior officer or board designee signs official plan amendments and grant approval certificates. Their signature binds the company and confirms funding and accounting treatment in accordance with corporate governance.

Practical LTIP Use Cases

Two compact scenarios illustrate how the template supports different company sizes and governance models.

Public Company Equity Program

A company standardizes RSU award notices for all executives

  • Uses committee-approved templates and electronic signing to speed issuance
  • The executed template ensured consistent accounting, simplified tax reporting, and supported the auditor’s sampling during year-end review.

Startup Option Grants

A VC-backed startup issues stock options to new hires using the template

Practical Tips for Accurate, Efficient LTIP Administration

Adopt predictable practices to reduce errors and audit exposure while keeping the participant experience clear.

Standardize Templates
Use a single approved template for each award type and keep version history. Limiting variations reduces legal review time and prevents conflicting terms across grants.
Validate Participant Data
Confirm full legal name, tax ID, and address before issuing awards. Mismatched data can trigger backup withholding and reporting errors.
Document Approvals
Capture board or committee resolutions and retain signed delegation paperwork. Clear approval trails are critical for internal control and external audits.
Automate Hand-offs
Integrate HRIS, payroll, and accounting so grant data flows automatically to withholding and ASC 718 calculations, reducing manual entry errors.
