What the HR Management Services Agreement Covers

A HR Management Services Agreement is a written contract between an employer and a service provider that defines outsourced HR functions, responsibilities, and performance standards. Typical topics include the scope of services (payroll, benefits administration, recruiting, compliance support), pricing and fees, service levels, confidentiality and data protection, employee data handling, indemnification, and termination and transition procedures. The agreement allocates regulatory responsibilities, sets timelines for deliverables, and establishes remedies for nonperformance. It can be executed on paper or electronically consistent with federal and state e-signature law.

Why a Clear Written Agreement Matters

A formal HR Management Services Agreement reduces operational risk by clarifying who handles payroll taxes, benefits enrollment, and compliance tasks. It protects sensitive employee data, defines service levels, and documents liability allocation. Properly executed documents also support enforceability under ESIGN and UETA when signed electronically.

Why a Clear Written Agreement Matters

Who Typically Uses this Agreement

Common users include employers outsourcing HR functions, PEOs, and third-party administrators seeking clear service terms.

  • Small and mid-size employers seeking payroll and benefits administration without building in-house teams.
  • Professional Employer Organizations (PEOs) formalizing responsibilities and service-level commitments with client firms.
  • HR outsourcing vendors and third-party administrators documenting scope, fees, and compliance responsibilities.

The agreement is useful at contract start, renewal, or when transferring HR functions between vendors.

Primary Signers and Their Roles

Jane Smith, HR Director

Often responsible for negotiating terms, confirming scope and SLA metrics, and signing on behalf of the employer. The HR Director should ensure agreement language aligns with internal payroll and benefits workflows and obtain legal review for liability and data-protection clauses.

Carlos Ramirez, PEO Rep

Signs for the service provider, certifies capacity to perform covered tasks, and confirms systems and security controls. The provider representative must confirm insurance, BAA if applicable, and operational readiness before the effective date.

Core Sections to Include in the Agreement

A professional HR Management Services Agreement organizes legal and operational terms so both parties understand duties, timing, and remedies. The following six elements are essential.

Scope of Services

Describe specific HR functions provided (payroll processing, tax filing, benefits administration, recruiting, employee relations) with clear exclusions to avoid ambiguity during performance.

Service Levels

Define measurable SLAs such as payroll submission deadlines, payroll accuracy targets, response times, and remedies or credits for missed metrics to manage operational expectations.

Fees and Payment

Specify pricing model (per employee, fixed monthly fee, per-service charges), invoicing cadence, late-payment interest, and procedures for fee changes or additional work.

Confidentiality & Data

Set requirements for protecting employee personal data, encryption standards, breach notification timelines, and whether a Business Associate Agreement (BAA) is required for PHI.

Compliance Responsibilities

Allocate responsibility for tax filings, Form W-2/1099 preparation, I-9 retention, and regulatory reporting. State any cooperation obligations for audits or government inquiries.

Termination & Transition

Explain termination rights, notice periods, offboarding assistance, data export formats, and transition fees to ensure continuity when services end.

Step-by-Step: Completing and Signing the Agreement

Follow these steps to prepare, review, and execute the agreement securely and compliantly.

  • 01
Prepare Draft: Assemble scope, fees, and data-protection terms for internal review.
  • 02
Legal Review: Have counsel confirm liability, indemnity, and compliance language.
  • 03
Obtain Approvals: Secure internal sign-off from finance, HR, and procurement as needed.
  • 04
Execute: Sign electronically or on paper, preserving audit trail and copies for records.

Customizing the Online Execution Workflow

Configure the signing workflow so signers follow the required order and authentication steps.

Field Configuration
Signer Order Sequential or parallel routing
Authentication Email, SMS code, or KBA
Required Fields Signature, initials, date, and text inputs
Retention Enable audit trail and PDF archival

Where to Send and How to Submit the Agreement

Select the final distribution path and confirm archival location before sending for signature.

  • Signed Copies: Send executed PDF to all parties and store in contract repository
  • Payroll System: Deliver required data to payroll provider in agreed format
  • Regulatory Records: Retain I-9s and tax records per legal retention rules
  • Audit Evidence: Preserve audit trail showing who signed and when

Digital Signing and Integration Considerations

Choose settings that capture a robust audit trail, enable secure storage, and integrate with HR and accounting systems for downstream processing.

  • Integrations: Salesforce, NetSuite, HRIS
  • Formats Supported: PDF, DOCX, HTML
  • Security: TLS and AES-256 encryption
