What the HR Merger Resolution Template Is

The HR Merger Resolution Template is a formal corporate record used to document board or authorized committee decisions that authorize the transfer, consolidation, or reorganization of employee-related matters during a merger or acquisition. It summarizes approvals for workforce transfers, benefit plan continuity, payroll data migration, employment contract assignments, and delegated signing authority. The template establishes who may execute personnel actions, instructs HR and payroll teams on timing and conditions, and becomes part of corporate minutes and HR records to support compliance, audits, and post-merger integration.

Why a Clear HR Merger Resolution Matters

A precise resolution reduces ambiguity about authority, ensures consistent treatment of employees and benefits, and creates an auditable record for corporate governance and regulatory review. It helps align HR, legal, and finance teams during a complex transition.

Why a Clear HR Merger Resolution Matters

Typical Users and Recipients

After approval, copies are distributed to HR operations, payroll, benefits administrators, and the corporate records custodian.

  • Board of Directors and Board Secretary: Prepares or approves resolutions for corporate records and minutes.
  • HR Leadership and CHRO: Coordinates employee transfers, benefits continuity, and communication plans.
  • Legal and Compliance Teams: Reviews assignment clauses, regulatory impacts, and retention obligations.

Who Can Sign and Approve

The board chair or an authorized director commonly signs to record board approval. Their signature establishes the corporate intent and is typically reconciled with board minutes and the corporate secretary's attestation.

Authorized Officer

A named corporate officer (CEO, CFO, or CHRO) may be delegated authority to implement HR actions. The resolution should identify the officer, the scope of delegation, and any limits on subdelegation.

Employee Transfer Terms
