What the HR Online Services Agreement Covers

The HR Online Services Agreement is a contract that defines the scope, deliverables, and responsibilities for online human resources services delivered to an employer or client. It typically covers service scope, access rights, data handling and security, confidentiality, fees, service levels, dispute resolution, and termination. For engagements that touch protected health information or student records, addenda address HIPAA or FERPA requirements. When executed electronically this agreement should also document consent to electronic records and signatures under applicable U.S. law (ESIGN and state UETA provisions).

Why a Formal HR Online Services Agreement Matters

A clear agreement reduces operational risk, defines data responsibilities, and creates enforceable expectations for service levels, billing, and compliance. It preserves audit trails for later review and supports admissible electronic records under ESIGN and UETA.

Why a Formal HR Online Services Agreement Matters

Who Typically Prepares and Signs This Agreement

Common parties include in-house HR teams, third-party HR vendors, and legal or procurement professionals who review contract terms.

  • HR managers and directors responsible for vendor oversight and ensuring policy alignment with company practices.
  • Third-party HR providers, payroll processors, or benefits administrators delivering services covered by the agreement.
  • Legal counsel and procurement staff who review liabilities, indemnities, and compliance clauses before signature.

Roles vary by organization size; responsibilities for execution and recordkeeping should be defined in the agreement.

Core Elements to Include in Every HR Online Services Agreement

A well-drafted HR Online Services Agreement groups operational, legal, and technical obligations so both parties understand expectations, liabilities, and compliance requirements.

Scope

Precisely list services, deliverables, and excluded activities so there is no ambiguity about provider responsibilities and client expectations.

Data Security

State required security controls, encryption, breach notification timelines, and whether a Business Associate Agreement (BAA) applies for PHI.

Access & Roles

Define who may access systems, role-based permissions, admin responsibilities, and procedures for onboarding and offboarding user access.

Fees & Billing

Specify pricing, billing cadence, invoicing detail, late payment remedies, and any pass-through costs or third‑party fees.

Service Levels

Include uptime expectations, response and remediation times, escalation paths, and remedies for SLA failures.

Termination

Set termination rights, transition assistance, data return or deletion procedures, and surviving obligations.
